J. JEFFREY BROWN is a partner with Faegre Baker Daniels LLP. He represents both public and private companies in acquisitions, securities offerings and corporate governance matters. He also represents financial investors and management participants in private equity and venture capital transactions, leveraged buyouts, recapitalizations, and other complex transactions. Mr. Brown is the 2018 M&A Lawyer of the Year in Indianapolis as named by The Best Lawyers in America. He was the Private Equity and LBO Lawyer of the Year in 2016, the M&A Lawyer of the Year in 2015, and the Venture Capital Lawyer of the Year in 2014. He is ranked Band 1 in Indiana for corporate/M&A by Chambers USA. In addition to practicing law, Mr. Brown is an active investor in the public markets and is a CFA charterholder. The CFA (chartered financial analyst) program is a rigorous and comprehensive multi-year study program in the field of investment management and research analysis. Mr. Brown earned his M.B.A. degree from Georgetown University and his J.D. degree from the University of Virginia.
TIMOTHY H. BUTTON is of counsel to the Indianapolis office of Riley Bennett & Egloff LLP. His practice is focused on general corporate counseling including, asset purchases, stock acquisitions, commercial financing, the incorporation and organization of business entities, commercial real estate, and zoning matters. Mr. Button currently provides representation and general business counseling of corporations, limited liability companies and other business entities, including not-for-profit corporations. He earned his A.B. degree from Hamilton College and his J.D. degree from Indiana University Robert H. McKinney School of Law, Indianapolis. Mr. Button is also on the Board of Directors of the law school’s Alumni Association.
KATHRYN M. CIMERA is an attorney at Mallor Grodner LLP, in Indianapolis, Indiana. Ms. Cimera focuses her practice on advising and counseling employers on compliance with federal, state and local employment, equal opportunity laws, and benefit laws; as well as complaints involving claims of discrimination, harassment, retaliation, and wrongful discharge. She also has experience with ERISA compliance and fiduciary obligations and board governance practices. Ms. Cimera is admitted to practice in Indiana and before the U.S District Court for the Northern District of Indiana and the U.S District Court for the Southern District of Indiana. She is a member of the Indianapolis Bar Association and the Indianapolis Bar Association's Pro Bono Committee and co-chair of Legal Line. She earned her B.A. degree from Indiana University and her J.D. degree from Pepperdine University School of Law.
JAMES A. KLIMEK is a sole practitioner in Indianapolis, where he practices in the field of securities law. Mr. Klimek structures and documents public and private offerings of securities for companies and investment funds, makes filings with the Securities and Exchange Commission and state securities regulators, and advises companies on strategic transactions, such as mergers and acquisitions. His practice also includes advising litigation and bankruptcy counsel on securities law issues and representing financial services professionals before regulators regarding licensing issues, investigations and administrative proceedings. Mr. Klimek served on the staff of the Indiana Securities Division as chief counsel from 1995-1997 and deputy commissioner from 1992-1995. He earned his B.A. degree from Colby College and his J.D. degree from the Indiana University Maurer School of Law.
NORMAN R. NEWMAN is senior counsel in the Indianapolis office of Taft Stettinius & Hollister LLP, practicing within the firm’s real estate practice group. He is the author of numerous articles on commercial real estate-related topics and has lectured on these topics for the Indiana Continuing Legal Education Forum, the International Council of Shopping Centers, and other organizations. Mr. Newman is a fellow of the American College of Real Estate Lawyers and is listed in Who's Who in American Law and The Best Lawyers in America. He earned his J.D. degree, with distinction, from the Indiana University McKinney School of Law and is now an adjunct professor there.
