Elizabeth A. Dupuis
is a managing shareholder of the State College office of Babst Calland, where her practice is focused upon residential and commercial real estate transactions, business planning and formation, commercial and contract litigation, estate planning and administration, and commercial development. Ms. Dupuis also serves as solicitor for Patton and Ferguson Townships in Centre County, as well as Centre County. She is a licensed title agent in Pennsylvania and conducts residential and commercial real estate closings through MidState Closing Company, an affiliate of Babst Calland. Ms. Dupuis is a member of the Centre County, Pennsylvania and American bar associations. She is admitted to practice before the United States District Court for the Western and Middle districts of Pennsylvania and the Third Circuit Court of Appeals. Ms. Dupuis earned her B.S. degree from Pennsylvania State University and her J.D. degree from the University of Pittsburgh.

Kerrianne A. Donovan
is a licensed title agent for Pennsylvania and West Virginia for the law firm of Bowles Rice LLP in its Canonsburg, Pennsylvania (Southpointe) office. She has broad experience in the sale and acquisition of real property that involves residential, commercial, and industrial properties; new developments; vacant land and subdivisions and like-kind exchanges; including title examination, clearing title, corporate due diligence, closing and settlement. Ms. Donovan specializes in new construction transactions and Pennsylvania property tax analysis, including interim taxes. She routinely handles title insurance for transactions in Pennsylvania and West Virginia, and collaborates with national and regional developers, builders, and lenders. Ms. Donovan received her associate degree from Douglas School of Business, and a certificate in paralegal studies from Boston University-Metropolitan College.

Michael Yanoff
is of counsel with Goldstein Law Partners, LLC. He has more than 40 years of experience representing clients in a variety of litigation and business matters, and concentrates his practice on litigation, personal injury, land use and zoning. Mr. Yanoff has significant federal and state courtroom experience, and has tried a myriad of jury, bench and appeal trials throughout Pennsylvania. His practice also involves representation of developers of residential and commercial properties in land development and zoning matters, including multi-unit home developments, shopping centers and office complexes. Mr. Yanoff is experienced in negotiating and drafting purchase and sale agreements for commercial and residential real estate, municipal improvement agreements, and loan documents. His representative real estate/land use and zoning transactions include securing zoning and easement approvals to subdivide a parcel into five parcels for the development of a 1.25 million square foot East Coast campus; negotiation of zoning rights for a highway slip ramp and commercial building for a parcel located in a flood-plain; and developing student housing at Drexel University. Mr. Yanoff is a member of the Pennsylvania and Montgomery bar associations, American Association for Justice, Pennsylvania Association for Justice, and Montgomery County Trial Lawyers Association. He earned his B.A. degree from Temple University and his J.D. degree from the Villanova University School of Law. Mr. Yanoff is currently working on his M.A. degree at Temple University.

Peter L. Kogan
is counsel in the real estate group of the law firm of Reed Smith LLP. He represents clients in all major aspects of transactional real estate law, including property acquisition and disposition, land use and development, leasing and subleasing, and real estate finance and entity structuring. Mr. Kogan's clients have included large global retailers, professional sports franchises, hotel and restaurant developers, major industrial and manufacturing businesses, software and information technology companies, entities engaged in commercial transportation and waste disposal, and owners of retail and other properties. He focuses his practice on complex transactions involving the multi-purpose development and redevelopment of large-scale properties in Western Pennsylvania and elsewhere, which frequently include extensive and innovative arrangements with public and quasi-public agencies for the use of former industrial, commercial and institutional sites. In connection with such transactions, Mr. Kogan has assisted clients in securing public-private financing, and entering into partnership and development agreements governing the use and development of brownfield and grayfield sites. He has lectured extensively on issues of real estate law and commercial development in Western Pennsylvania. Mr. Kogan earned his B.A. degree from the University of Michigan and his J.D. degree, with honors, from Emory University School of Law.

Paul J. Toner
is a founding partner of Orphanides & Toner, LLP. His practice areas include appellate practice, real estate law, municipal law, administrative law, landlord-tenant law, construction litigation, commercial litigation, tax sales and condominium/planned communities development and litigation. Mr. Toner is an active member of the Pennsylvania Bar Association, as well as the bars of the U.S. District Court for the Eastern District of Pennsylvania, U.S. Court of Appeals for the Third Circuit and U.S. Supreme Court. He served as chairman of the South of South Neighborhood Association (SOSNA), and was chairman of the SOSNA Zoning Committee. Mr. Toner also sits on the Board of Directors of the Freire Foundation of the Freire Charter School. He earned his B.A. degree from St. Joseph's University and his J.D. degree from Penn State - Dickinson School of Law.
