JACOB DERENTHAL is a partner with Walter | Haverfield LLP, where he focuses his practice on representing public and private companies, entrepreneurs, private equity firms, financial, and institutional clients in a broad range of corporate and securities transactions, including mergers and acquisitions, debt and equity issuances, corporate restructuring, venture capital and angel investing, strategic alliances, and corporate governance matters. Mr. Derenthal counsels management, directors, and shareholders in connection with entity formation, contract negotiation, operational and employment issues, commercial leasing, financing, and exit strategies. He has experience in transactions involving healthcare, manufacturing, technology, aerospace, real estate, and service sectors. Mr. Derenthal is a member of the American, Ohio State, and Cleveland Metropolitan bar associations. He earned his B.A. degree from the University of Michigan and his J.D. degree from St. John's University School of Law.
STEVEN A. DIMENGO is a shareholder in the Akron based law firm of Buckingham, Doolittle & Burroughs, LLC, serving as managing partner and chairman of the executive committee. Additionally, he serves as department head of the taxation section of the business practice group. In the past, he has served as business practice group leader, vice president, and secretary/treasurer of the firm's board of managers. Mr. Dimengo concentrates his practice on Ohio sales, income and commercial activity taxes as well as transactions with federal tax implications. This includes comprehensive Ohio tax audits, appeals, and planning; sales of real property; and the acquisition/sale of businesses. He provides substantial representation before the Ohio Tax Commissioner, Ohio Board of Tax Appeals and the Ohio Supreme Court, as well as before the Internal Revenue Service. BILL DITTY, CPA/PFS/CFF, CVA, MAFF, CDFA, MSA, is president and owner of Ditty Financial Forensics, LLC. He has testified in court in the areas of divorce litigation, business valuations, separate property/hidden asset tracing, and associated forensic accounting analysis. Mr. Ditty has been qualified as an expert witness for cases in several Ohio counties. He is the president for the Southern Ohio Chapter of the National Association of Certified Valuators and Analysts (NACVA). In his capacity as chapter president, Mr. Ditty provides and conducts continuing education seminars for valuation analysts and forensic accountants. He is a member of the American Institute of Certified Public Accountants (AICPA), Ohio Society of Certified Public Accountants (OSCPA), Institute of Divorce Financial Analysts (IDFA), National Association of Certified Valuators and Analysts (NACVA), and the Institute of Business Appraisers (IBA). Mr. Ditty earned his B.B.A. degree from Ohio State University and his M.S.A. degree from Central Michigan University.
JOEL R. HLAVATY is one of the founding partners of Frantz Ward LLP and is a member of its Management Committee. He focuses his practice on the representation of management in all phases of labor relations and employment litigation, and regularly appears in federal and state courts, as well as administrative agencies of all jurisdictions on claims arising under federal and state labor and employment laws. Mr. Hlavaty routinely advises employers on all aspects of their relationships with employees, as well as with respect to matters concerning litigation prevention and human resources management. He additionally represents employers with respect to complaints and charges filed with the EEOC and OCRC, NLRB and SERB, and with OSHA and the DOL, as well as with health care and ERISA issues and complaints, collective bargaining issues, and strike disputes. RICHARD S. KOBLENTZ is an attorney with Koblentz & Penvose, LLC. Mr. Koblentz devotes the greatest portion of his practice to the area of professional responsibility which includes, but is not limited to, legal ethics, attorney discipline, bar admission representation, representation in the areas of attorney conflicts of interest, disqualification of counsel, law firm formations and dissolutions, legal malpractice representation as both plaintiff and defense counsel, and service as an expert witness. MARK E. KROHN is the founder of The Law Office of Mark E. Krohn, Esq., LLC, where his practice is focused on business and real estate matters. JODI B. RICH is an attorney in the Cleveland office of Ulmer & Berne LLP. She practices in the area of real estate law, where she represents buyers and sellers in the acquisition, sale and development of shopping centers. Ms. Rich also represents buyers and sellers in various commercial real estate acquisitions and sales, including properties with unique circumstances such as environmental contamination. She represents commercial landlords, tenants and clients completing 1031 exchanges, as well as assisting both lenders and borrowers in negotiating loan documents. Ms. Rich has negotiated transactions involving distressed properties, including assisting clients navigating through deals involving the foreclosure of real property. GARY A. ZWICK is head of the tax and wealth management section of the law firm of Walter | Haverfield LLP, in Cleveland, Ohio, where he practices law primarily in the area of taxation with an emphasis in estate planning, qualified plans, mergers and acquisitions, general taxation, and family business consulting. He is a fellow of the American College of Tax Counsel, a certified public accountant and is board-certified in federal tax law by the Ohio State Bar Association.
