"Business Acquisition from Start to Finish" is an accredited program under the regulations of the Iowa Supreme Court Commission on Continuing Legal Education. It is planned that this program will provide a maximum of 6.0 hours of unmoderated activity credit toward the mandatory continuing legal education requirements under the Iowa rule, including 1.0 hour of ethics unmoderated activity credit. No more than 6.0 hours of unmoderated activity CLE credit may be earned during a reporting period.
ZACHARY C. EUBANK is the president and founder of Eubank Capital, LLC, where he is a consultant and business adviser to Iowa, Kansas, Minnesota, and Nebraska businesses on financial and management projects, business planning, and business valuations. Mr. Eubank performs appraisals for a variety of purposes, including ESOPs, mergers/acquisitions, estate taxes, buy/sell agreements, intra-family transfers/gifting, charitable donations, built-in gains calculations, management decision-making, family limited partnerships, asset holding companies, and financial reporting. He has experience in researching industry and economic data. Mr. Eubank also includes building financial models, applying valuation techniques, performing financial analysis, and writing conclusive reports. He is licensed by the American Society of Appraisers as an accredited senior appraiser (ASA), the National Association of Certified Valuation Analysts (NACVA) as a certified valuation analyst and as an attorney in the state of Iowa. Mr. Eubank earned his B.S. degree from Marquette University, his J.D. degree from Drake University Law School, and his M.B.A. degree from Drake University.
MICHAEL A. GILMER is special counsel with Davis Brown Law Firm primarily practicing in the area of tax law. He regularly counsels clients on tax matters related to the state of Iowa and the federal government. Mr. Gilmer also advises clients on the tax implications of various business transactions, including sales, recapitalizations, and exit planning. He represents clients before the IRS, Department of Revenue, Iowa Workforce Development, and various other state agencies from initial audit through representation in court. Mr. Gilmer also has prepared cases for trial before the U.S. Tax Court. He is a member of the American Bar Association's Section on Taxation, Iowa State Bar Association's Section on Taxation, and Polk County Bar Association. Mr. Gilmer earned his B.A. from Gustavus Adolphus College in Saint Peter, Minnesota; his J.D. degree from Drake University Law School; and his LL.M. degree from New York University School of Law.
SHANNON M. HOLMBERG is an attorney with Davis Brown Law Firm where her practice focuses on real estate, data privacy, and general business matters. Ms. Holmberg consults with entrepreneurs as they launch their businesses to learn what they envision for the future of their business, and advises on and helps organize the best entity type to enable them to achieve their business goals in the long-term. She also has a growing data privacy practice, advising clients on data privacy regulation compliance, including GDPR and CCPA. Ms. Holmberg helps companies of all sizes navigate the often-complicated regulations, first understanding if the regulations apply to them. If the data privacy regulations apply to their business, she advises on and helps create the agreements and policies to comply. Ms. Holmberg frequently presents to both clients and trade associations as they work internally to increase their knowledge of and compliance with complex data privacy regulations. She is a member of the Iowa State Bar Association, Iowa Organization of Women Attorneys, Polk County Bar Association, and Polk County Women Attorneys. Ms. Holmberg earned her B.A. degree from the University of Iowa and J.D. degree from Drake University Law School.
DAVID J. HOVE, CPA, is a senior tax partner with LWBJ, LLP. Mr. Hove has more than 30 years of tax consulting experience and leads the firm's tax department, including its state, local and international tax practices. He specializes in working with existing and start-up companies in the manufacturing, technology, construction, distribution and service industries. Mr. Hove is a recognized authority on entity selection, restructuring, and site selection for businesses seeking to minimize their exposure to state, local and international taxes through multistate and/or multinational operations. He has represented both buyers and sellers in a host of M&A transactions. Mr. Hove has also designed and assisted in restructuring transactions, such as upstream and downstream mergers and spin-offs to minimize future federal and state tax liabilities. He is a member of the Iowa Society of Certified Public Accountants (Tax Section), the American Institute of Certified Public Accountants (Tax Practice and Procedures Committee), the Board for the Technology Association of Iowa, and the American Board of Forensic Examiners. Mr. Hove earned his B.B.A. degree from Iowa State University.
JOHN C. PIETILA is a shareholder with Davis Brown Law Firm and is the current president of the Board of Directors, and chair of the Technology and Telecommunications Department. Mr. Pietila practices primarily in the areas of telecommunications and utilities, agribusiness and cooperatives, business organizations and transactions, and mergers and acquisitions. He assists clients in managing risks and capitalizing on opportunities associated with innovative business strategies and evolving regulatory frameworks. Mr. Pietila advises clients in connection with strategic transactions and joint ventures, including a wide range of mergers, acquisitions, and investments. He works closely with clients to understand their business objectives and to assist in developing and implementing successful acquisition, investment, and exit strategies. Mr. Pietila frequently serves as outside general counsel to clients, advising on ongoing strategic, transactional, corporate, and regulatory matters. JASON M. STONE is a shareholder with Davis Brown Law Firm with a concentration on the formation, acquisition, disposition, operation, and liquidation of business entities of all types and sizes. He has served clients in the fields of real estate, advanced technologies, health care, senior housing, agriculture, manufacturing, and finance. Mr. Stone is also the program coordinator for Start-Up Launchpad, a premium full-service program of Davis Brown that includes flat-fee strategic advice and legal services for start-up businesses and entrepreneurs.
