EUGENIE D. RIVERS has practiced business and securities law for more than 20 years, currently through her own firm, Rivers Business Law, Inc. Ms. Rivers offers a wide range of legal services to assist entrepreneurs, business owners and investors structure, fund and grow their ventures. Ms. Rivers provides practical legal and business advice in the areas of strategic entity structuring, equity and debt securities offerings, real estate LLCs formation and investments, executive compensation, business purchase and sales, and bank and commercial finance transactions. Before forming her own firm, Ms. Rivers was a corporate finance partner at Davis Wright Tremaine in Seattle, where she conducted securities and M&A transactions for public and private companies and financial institutions. Ms. Rivers earned her J.D. degree from the University of Washington School of Law and her B.S. degree from California State University at Sacramento. She is a member of the Washington State Bar Association, the Executive Network of Seattle, and past general counsel and board member of the Northwest Entrepreneur Network. In her spare time, Ms. Rivers is also a founding shareholder and member of the Washington Fencing Academy. DENNIS J. SHANLIAN is one of the founding members of the law firm of Hanis Irvine Prothero, PLLC. Mr. Shanlian's practice focuses on business and financial transactions and planning for their tax consequences. He assists clients on a wide variety of areas, including formation of entities and joint ventures; preparation and negotiation of contracts involving investors and management; corporate governance issues, executive and deferred compensation, and incentive stock plans; expansion through franchising; private placement of securities and commercial loans; transfer and license of technology; merger, acquisition, reorganization or dissolution of companies; and asset protection strategies with sophisticated estate planning. Mr. Shanlian is a certified public accountant and certified financial planner. His court admissions include Washington state, federal and U.S. Tax Court. He earned his B.A. degree, M.B.A. degree and Master of Laws (in taxation) degree from the University of Washington, and his J.D. degree from Seattle University School of Law. He is president and a director of the Estate Planning Council of South King County, and a director of the Kent Chamber of Commerce. DENNY F. WONG is a shareholder in the Seattle law firm of Graham & Dunn PC, where he chairs the firm's tax practice. Mr. Wong has extensive experience handling matters relating to corporations, partnerships and limited liability companies, with a particular emphasis on tax planning. He advises clients on the formation, operation, structuring and restructuring of business entities, non-profit corporations, executive compensation, retirement plans, and mergers and acquisitions. In addition, he has represented real estate developers and foreign investors in U.S. real estate in a variety of projects and transactions, and assisted high-net worth individuals with their business and financial planning. Mr. Wong also advises clients on employee benefits issues. He is a member of the Washington State, King County and American bar associations. Mr. Wong earned his B.A. degree, cum laude, from the University of Washington; his M.A. degree from the University of California at Berkeley; his J.D. degree from Cornell University; and his LL.M. degree in taxation from New York University.
