DAVID R. GURTMAN is an attorney with the law firm Dinse, Knapp & McAndrew, P.C., where his areas of practice include commercial and real estate transactions. Mr. Gurtman advises individuals, businesses and non-profit organizations in both real estate and business transactions. He represents both business and institutional clients in contract negotiations, the formation of business entities, and tax planning. Mr. Gurtman earned his B.A. degree, cum laude, from Middlebury College and his J.D. degree, cum laude, from Lewis and Clark Law School. SHANE W. McCORMACK is an attorney with Burak Anderson & Melloni, PLC, where he practices in the Business & Corporate and Banking & Finance practice groups. Mr. McCormack's primary areas of practice currently include securities law, business law, commercial lending, contract law and public finance. He is admitted to practice in Vermont, Massachusetts and New York. Mr. McCormack previously practiced as an associate attorney with the New York office of Paul, Weiss, Rifkind, Wharton & Garrison LLP, where he gained significant experience in a wide variety of corporate law matters, with a particular focus on federal securities laws. He earned his B.A. degree from McGill University, his M.B.A. degree from Boston University and his J.D. degree, magna cum laude, from Boston University. BRIAN R. MURPHY is a partner in the Burlington law firm of Dinse, Knapp & McAndrew, P.C., located in Burlington, Vermont. He is corporate and tax attorney active in counseling closely-held businesses and exempt organizations on a wide variety of business and tax matters, including business formation and structuring issues, mergers and acquisitions, executive compensation (including 409A compliance), tax planning, and representing clients before the IRS and the United States Tax Court. He is licensed to practice in Delaware and he is active in forming, merging, dissolving and otherwise operating Delaware corporations, limited partnerships and limited liability companies. Prior to joining Dinse, Knapp & McAndrew, P.C., Mr. Murphy was a partner in the Wilmington, Delaware law firm of Young Conaway Stargatt & Taylor, LLP, a nationally recognized firm in corporate takeover disputes and large Chapter 11 bankruptcies. Prior to practicing law, he practiced for six years as a certified public accountant with the Boston Office of Ernst & Young, LLP. Mr. Murphy is listed in the 2005 and 2006 editions of America's Leading Lawyers for Business published by Chambers and Partners. He earned his B.S. degree from Providence College and J.D. degree, magna cum laude, from Suffolk University.
