GORHAM S. CLARK is the managing partner of Clark & Allen, P.C., with offices in Leesburg and Tysons Corner, Virginia. He concentrates his practice on tax-exempt and for profit business law, open space and rehabilitation tax credits, and trusts and estates. In addition, Mr. Clark serves as general counsel to an extensive array of tax-exempt organizations, including churches, educational institutions, charitable foundations, sports organizations and trade associations. He is heavily involved in similar organizations as a volunteer. Mr. Clark has served as president, chairman of the board, finance committee chairman or director for numerous tax-exempt organizations, charitable or church entities, and schools. He also serves on the Loudoun County Board of Zoning Appeals and as the Commonwealth of Virginia's Escheator for the 20th Judicial Circuit. Mr. Clark is a graduate of the University of Virginia and of Washington & Lee University School of Law. He is admitted to practice in Virginia, Maryland and the District of Columbia. ROBERT H. FRANK focuses his professional career on the representation of tax exempt organizations. He has written many articles in the areas of tax exempt organizations, tax law and charitable contributions. Mr. Frank also has co-authored many publications concerning the tax and accounting issues of tax exempt organizations. He has been a frequent lecturer to States Societies of Certified Public Accountants for their CPE programs in both tax and accounting subjects. Mr. Frank also serves as a member of various local and national not-for-profit organization's board of directors. He earned his B.S. and B.A. degree from Louisiana State University, and a Masters of Accountancy and Taxation at Texas Tech University. DAVID J. HARR, Ph.D. CPA, is a consultant with the firm of Frank & Company, P.C. He has over 25 years of accounting and financial management experience. Mr. Harr has conducted seminars with businesses, government agencies and not-for-profit organizations on a variety of topics including budgeting, mission development, financial reporting, performance measurement, cost management and activity-based cost accounting. His articles on activity based cost accounting have been published in Management Accounting and other professional journals. In addition, Mr. Harr has conducted seminars on financial accounting standards, auditing, cost allocation and activity-based costing for CPA societies throughout the United States. He also has consulted with a wide variety of government and business organizations concerning cost allocation and financial management issues. Dr. Harr earned his B.B.A. degree from the University of Wisconsin - Madison, his M.S. degree from Naval Postgraduate School and his Ph.D. from the University of Wisconsin -Madison. He is a Certified Public Accountant in Virginia and a Certified Government Financial Manager. DIARA M. HOLMES is a member of the law firm of Caplin & Drysdale, Chartered, where she focuses her practice on exempt organizations. Ms. Holmes is admitted to practice in the District of Columbia and is a member of the American (Tax Section Committee on Exempt Organizations; Co-Chair, Audits and Appeals Subcommittee, 2008-present) and Women's bar associations, as well as the District of Columbia Bar (Tax Section). She is a frequent speaker at national professional conferences on exempt organizations. Ms. Holmes earned her B.A. degree from the University of Pennsylvania, her M.P.P degree from Harvard University's John F. Kennedy School of Government and her J.D. degree, cum laude, from Harvard Law School. WILLIAM M. KLIMON is a member of Caplin & Drysdale, Chartered, where his areas of practice include corporate law and exempt organizations. Mr. Klimon is admitted to practice in Maryland, Virginia and the District of Columbia. He has spoken on nonprofit corporate governance and transactional issues at the Center for Nonprofit Advancement's "Public Private Partnership Conference," the American Health Lawyers Association's "Hospitals and Health Systems Law Institute" and the National Business Officers Association's "Tax Institute for Private Schools." Mr. Klimon also has been an instructor in contractual and commercial relations in Georgetown University's Paralegal Studies Program. He is a member of the American (Business Law Section, Nonprofit Organizations Committee) and Maryland State bar associations and Phi Delta Phi. Mr. Klimon earned his B.A. degree from the University of Pennsylvania and his J.D. degree, order of the coif, from the University of Maryland School of Law. JOHN P. McGEEHAN is a member of the Fairfax law firm of McGeehan & Associates, PLC, where he practices in the areas of business law, advanced real estate transactions, commercial contracts, bankruptcy and civil litigation. He teaches business courses for service corps of Retired Executives (SCORE) in Washington, D.C. and at Northern Virginia Community College. Mr. McGeehan has been a speaker at continuing legal education programs for bar associations and National Business Institute. He earned his B.A. degree from Kings College and his J.D. degree from Georgetown University, and has completed professional graduate courses at the University of Virginia and the University of California, Los Angeles. Mr. McGeehan is admitted to practice in Virginia and before the U.S. Court of Appeals (4th Circuit), the U.S. District Courts (Eastern and Western districts of Virginia) and the U.S. Supreme Court. He is a member of the Virginia State Bar, Virginia Creditors Bar Association and the U.S. Supreme Court Historical Society.
