E. JAY SHEEN is a sole practitioner in Salt Lake City, Utah. Mr. Sheen's practice concentrates on complex business arrangements, international law, and securities law. His far-reaching experience with complex business arrangements includes the creation of Series LLCs and the integration of public and private entities. SPENDLOVE is a shareholder in the Salt Lake City law firm of Durham Jones & Pinegar, PC. Ms. Spendlove has focused her practice in the areas of real estate law, including real estate leasing, title law and easements and development disputes. Her practice also includes commercial law with emphasis on structuring businesses. Ms. Spendlove frequently writes for the Utah Business Magazine. She frequently lectures on real estate and business topics for professional and business groups. Ms. Spendlove earned her B.A. degree from the University of Utah and her J.D. degree from the University of Arizona, where she was a member of the Arizona Law Review. She is a member of the American Bar Association and the Utah State Bar (past chair, Business Law Section and Real Estate Section). Ms. Spendlove is a past president of the Women Lawyers of Utah and the National Association of Women Business Owners, Salt Lake Chapter. MICHAEL C. WALCH is a shareholder with Callister Nebeker & McCullough, where his main areas of practice are corporate, partnership and personal taxation, business organization and transactions, nonprofit organizations, estate planning and asset protection, real estate and Indian law. Mr. Walch's practice focuses primarily on tax and business matters, transaction planning for corporations, partnerships, limited liability companies and individuals, both domestic and international, including preparation of tax returns. He has expertise in representation in federal and state tax controversies and appeals. Mr. Walch also advises business principals on executive compensation packages, tax-free exchanges, reduction in liability, protection of assets and nonprofit activities. He represents both purchasers and sellers of ongoing businesses in mergers and acquisitions utilizing corporate and tax strategies, negotiating financing, and preparation of transactional documents. Mr. Walch has successfully negotiated over 200 commercial leases, obtained necessary zoning permits and represented purchasers of investment properties utilizing real estate tax planning strategies. He is a member of the Oregon State Bar, State Bar of Michigan and Utah State Bar. Mr. Walch is admitted to practice before the U.S. District Court of Oregon, the U.S. District Court of the Eastern District of Michigan and the U.S. District Court of Utah. He also is admitted to the U.S. Tax Court, U.S. 9th Circuit, and he is a licensed public accountant in Oregon. Mr. Walch earned his B.S. degree, highest honors and magna cum laude, from Brigham Young University and his J.D. degree from Stanford University.
