DAMON E. COOMBS is a shareholder with Callister Nebeker & McCullough, where he provides general representation for both publicly held and privately held business entities. His practice also includes business finance, real estate, tax and estate planning, and labor and employment. Mr. Coombs earned his B.A. degree from the University of Utah and his J.D. degree from George Washington University, National Law Center. He is a member of the U.S. District Court for the District of Utah, the Utah Supreme Court, Utah State Bar (Business Law, Probate/Estate Planning, Securities, and Tax sections) and the American Bar Association (Business Law, Taxation, and Real Property and Probate sections). LANGDON T. OWEN JR. is a shareholder in the Salt Lake City law firm of Parsons, Kinghorn & Harris, P.C. Mr. Owen practices in the areas of corporate law, limited liability company, partnership, business structure and finance, commercial transactions, real estate, estate planning, taxation law, and health care law. He is a frequent speaker to professional groups on topics regarding taxation, estate planning and business, and health law. Mr. Owen earned his A.B. degree, with high distinction, from the University of California at Berkeley and his J.D. degree from the University of Utah. He is a member of the Utah State Bar (member, Fee Arbitration Committee; sections on Estate Planning, Taxation and Corporations), the American Bar Association and the American Health Lawyers Association. Mr. Owen has been practicing law since 1977. E. JAY SHEEN is a sole practitioner in Salt Lake City, Utah. Mr. Sheen's practice concentrates on complex business arrangements, international law and securities law. His far-reaching experience with complex business arrangements includes the creation of Series LLCs and the integration of public and private entities. Mr. Sheen has assisted U.S. companies in the creation of foreign-owned entities and the establishment of relationships with foreign governmental agencies. He has worked with several public companies in their routine SEC reporting requirements, as well as the preparation and filing of all relevant documents associated with registered mergers and acquisitions, public stock offerings and shareholder meetings. He has immense experience in all aspects of commercial transactions for both public and private companies, including entity creation, negotiations for funding, owner/shareholder planning and licensing agreements. His bar admissions include Utah and U.S. District Court, District of Utah. Mr. Sheen earned his B.S. degree in economics from Brigham Young University and his J.D. degree from the University of Utah, S.J. Quinney College of Law.
