BRENT R. BAKER is a partner in the Litigation Department and a member of the Corporate and Government Investigations and White Collar Defense Group at Ballard Spahr LLP. Previously, Mr. Baker served with the SEC for more than 13 years in various positions of increasing responsibility. He was a staff attorney, senior counsel and special counsel in the Division of Enforcement before leaving in 2004. While at the SEC, Mr. Baker conducted enforcement investigations and litigated a wide range of matters involving public company reporting and disclosure, investment companies and investment advisers, broker-dealer regulation and supervision, securities offering registration and exemption, insider trading, market manipulation and Internet fraud. He was also a Special Assistant U.S. Attorney for close to four years assisting in the prosecution of criminal securities violations. His practice focuses on SEC defense, corporate internal investigations and on representing corporate and individual clients in all white collar regulatory enforcement and litigation matters in court and before the U.S. Department of Justice, the SEC and other federal and state agencies. Mr. Baker has also represented accountants, broker-dealers, investment advisors and individual registered representatives before the SEC, the Financial Industry Regulatory Authority (FINRA), and the Public Company Accounting Oversight Board (PCAOB). He has published several articles and taught seminars on his areas of experience. Mr. Baker earned his B.A. degree from the University of Utah and his J.D. degree from the University of Oregon. His bar admissions include Utah, New York, U.S. District Court District of Utah, U.S. District Court District of Nevada, U.S. District Court Northern District of Texas and U.S. District Court District of Maryland. MICHAEL L. DEAMER is a sole practitioner emphasizing litigation, taxation, estate planning, business organizations and contracts; and real estate matters. Mr. Deamer was previously a partner in the law firm of Randle, Deamer & Lee, P.C., (formerly Ungricht, Randle & Deamer), emphasizing tax and civil litigation, tax and estate planning professional malpractice defense and complex financial litigation. He was also an adjunct professor of business law at the University and Utah and served as chief deputy attorney general for the state of Utah. As assistant general, Mr. Deamer was chief legal counsel to the Utah State Tax Commission, handling administrative hearings, litigation and appellate work in all state taxes, including corporate franchise, income, sales, inheritance, property and mining taxes, as well as assisting various county attorneys in major tax litigation. He earned his B.A. degree in accounting from the University of Utah and his J.D. degree from the University of Utah. He is admitted to practice law before the Utah Supreme Court, U.S. Tax Court, and Ninth and Tenth Circuit Court of Appeals and all federal courts in Utah. Mr. Deamer is a certified public accountant and a member of the Utah State Bar and American Association of Attorney/Certified Public Accountants. BRIAN A. LEBRECHT founded The Lebrecht Group, APLC, in February 2001. Mr. Lebrecht assists various clients primarily in the areas of corporate finance and mergers and acquisitions, including private placements, public and private offerings, Securities and Exchange Commission and Blue Sky compliance and reporting requirements, asset and stock purchases, and general corporate practice. Before founding The Lebrecht Group, he practiced corporate and securities law for five years with the Cutler Law Group. Prior to joining the Cutler Law Group, Mr. Lebrecht was the owner of The Law Offices of Brian A. Lebrecht in San Diego, California, focusing on business transactions, formations, and acquisitions as well as estate planning. His past experiences include a position in the legal department of the Federal Home Loan Mortgage Corporation (Freddie Mac) in Washington, D.C., a position within the general counsel's office of a major Southern California construction supplier, and representation of consumer interests before the California State Contractors License Board and the California State Banking Department, culminating in published works in the California Regulatory Law Reporter. Mr. Lebrecht serves as an officer of the Securities Section for the Utah State Bar. In the past, he has served as a member of the Corporations Committee of the Business Law Section of the State Bar of California, as a member of the National Republican Congressional Committee Business Advisory Council, and as an adjunct professor of business law at the University of California, San Diego Extension. Mr. Lebrecht earned his B.A., J.D. and M.B.A. degrees from the University of San Diego. He is licensed to practice law in the state of California and Utah and the U.S. District Courts for the Southern and Central Districts of California and the District of Utah.
