October 21 - Nashville ROBERT H. LAIRD is co-founder of McKenzie Laird, PLLC, prior to this he was a shareholder at Drescher & Sharp, PC and Vice-President and General Counsel for HealthStream, Inc. Mr. Laird represents private and public business clients and investors in corporate transactions, corporate governance, issuances of securities, mergers and acquisitions, information technology and venture capital investments. He has substantial experience in structuring and negotiating mergers and acquisitions, advising companies on capital formation and securities offerings, and advising boards of directors of private and public companies. Mr. Laird has been a frequent speaker at continuing legal education programs sponsored by the Tennessee Bar Association, the Nashville Bar Association and other organizations on a range of corporate and securities law topics, including mergers and acquisitions, venture capital financing, formation of legal entities and corporate governance. GLENN PERDUE is the managing member of Kraft Analytics, LLC, the valuation and forensics affiliate of Kraft CPAs. He began his professional career in the venture capital industry and later became the president of a technology company. Prior to joining Kraft, Mr. Perdue was with a top-ten accounting and consulting firm where he led the intellectual property practice. Prior to that, he was a principal with an international economics and finance consulting firm. He has been performing valuation analysis for more than 20 years. Mr. Perdue also has been retained as an expert witness in matters involving purchase price disputes, working capital disputes, claims of lost business value, claims of lost profits, and other forms of economic loss. He has been retained as an expert in more than 50 litigation matters in various industry settings. Mr. Perdue has been involved in M&A transactions as a buyer, seller, expert witness and advisor regarding valuation, due diligence, and deal structuring issues. OTTINGER is of counsel at the Memphis office of Baker Donelson, Bearman, Caldwell & Berkowitz, PC, where he focuses his practice in the areas of mergers and acquisitions, complex commercial transactions, and corporate compliance and ethics training and investigations, with both a domestic and international focus. Mr. Ottinger's experience includes executing public and private offerings of equity and debt securities and other corporate finance matters, representing buyers and sellers in merger and acquisitions, and providing counsel related to corporate governance, compliance, and ethics. His international transactional work includes drafting complex commercial contracts between global trade corporations and service providers throughout Europe and China and non competition and confidentiality agreements between U.S. importers and factories throughout China. Mr. Ottinger has prepared in depth reports addressing the requirements for a U.S. corporation to do business in various countries in the European Union and China. His experience also includes counseling clients on the Foreign Corrupt Practices Act and international anti-corruption treaties and enforcement regimes.
