DAVID L. MOREHOUS is counsel with Siemens Medical Solutions USA, Inc., a subsidiary of Germany's Siemens AG, where he handles corporate, contract and general matters for the Molecular Imaging Division. From 2003 to 2005, Mr. Morehous was staff attorney and assistant general counsel with CTI Molecular Imaging, Inc., a leading manufacturer of positron emission tomography medical imaging equipment and related molecular medical imaging products, which was acquired by Siemens in 2005. He specialized in corporate, contract, securities and general matters for CTI, a Nasdaq-listed public company. Prior to joining CTI, Mr. Morehous was an associate with the Knoxville law firm of Baker, Donelson, Bearman, Caldwell & Berkowitz, P.C., where his practice concentrated in the areas of corporate and securities law and e-business. He earned his B.A. degree from John Hopkins University and his J.D. and LL.M. degrees from Duke University. Mr. Morehous has written articles for several publications and presented several seminars on corporate and securities law. He is licensed to practice in Tennessee and Ohio, and he is a member of the Association of Corporate Counsel. MICHAEL L. POWELL is an attorney in the law firm of Ayres & Parkey, where he practices in legal malpractice defense, banking law, trusts and estates, wills, probate and civil litigation. Mr. Powell frequently lectures on his areas of practice, and teaches law and banking for the American Institute of Banking. He was a senior attorney for the FDIC, a member of the in-house counsel for SunTrust Bank for 11 years and is admitted to the Tennessee bars. Mr. Powell earned his B.A. degree from Carson-Newman College and his J.D. degree from the University of Tennessee. JOHN L. WOOD is an attorney with the law firm of Egerton, McAfee, Armistead & Davis, P.C. Mr. Wood practices in corporate and commercial law. His work primarily consists of advising technology companies, commercial lending, business formations, mergers and acquisitions, and business entity formations. Due to Mr. Wood's background in software development and management, he assists technology companies with outsourcing arrangements, licensing agreements, reseller agreements, entity formation, and various other matters. Mr. Wood earned his B.S. and M.S. degrees, magna cum laude, in computer science from Clemson University. He earned his J.D. degree, summa cum laude, from the University of Tennessee College of Law.
