CARL E. ANDERSON is owner of the Law Office of Carl E. Anderson. He has more than 25 years of experience handling civil litigation matters, as well as providing general corporate and business counsel to small and medium sized closely held companies and nonprofit organizations. His practice includes commercial finance transactions, business formations, real estate, public finance, municipal law, charter school law and government contracts. He has had extensive experience in the area of local, state and federal procurement, advising state and local government entities, as well as private government contractors regarding procurement law and the design and implementation of targeted public sector equity management policies to promote the utilization of minority and women-owned businesses, including federal DBE, SDB, and SBA 8 (a) programs. Mr. Anderson represents companies engaged in federal government contracting, including contract reviews and negotiation; Federal Acquisition Regulation (FAR) compliance; and prosecution of agency and General Accounting Office (GAO) bid protests and appeals involving solicitation, procurement integrity, source evaluation and selection issues. He has helped federal government contractors and subcontractors with DCAA audit issues and handled negotiation and drafting of teaming and joint venture agreements. He received his B.A. degree, cum laude, from Central State University; his M.S.W. degree from the University of Pittsburgh; and his J.D. degree from Boston College Law School. MICHAEL CHEREWKA is a sole practitioner in Wormleysburg, Pennsylvania, where his areas of practice include estate planning, corporation law, nonprofit organization, taxation, probate law and real estate law. He has been a participant in many seminars and debates on income tax and estate planning issues. Mr. Cherewka is a contributing author of the 2001 book, Strictly Business: Planning Strategies for Privately Owned Businesses. He is a member of the Dauphin County and the Pennsylvania bar associations, and the Estate Planning Council of Central Pennsylvania, and WealthCounsel. Mr. Cherewka also is a co-founder of the Keystone Family Business Center, an organization which focuses on helping family-owned businesses in such areas as estate planning, succession planning and ownership transfer, tax and retirement planning, and conflict resolution. He earned his B.S.B.A. degree, cum laude, from Bucknell University and his J.D. degree, cum laude, from The Dickinson School of Law. MATTHEW A. GROSH is an attorney in the law firm of Russell Krafft & Gruber, LLP, where he focuses his practice in the areas of business law, taxation, tax-exempt organizations and commercial lease negotiations. Mr. Grosh has previously lectured for the Lancaster Bar Association on tax considerations for employment lawyers. He also has lectured on estate planning and commercial lease topics for the general public on various occasions and is a frequent lecturer for the Building Industry Association of Lancaster County. Mr. Grosh earned his B.A. degree, magna cum laude, from Pennsylvania State University; his J.D. degree from Villanova University; and his LL.M. degree from Villanova University. Mr. Grosh is a member of the Pennsylvania and Lancaster County bar associations. He is a preferred consultant with the Nonprofit Resource Network. He also is a member and active in the Pennsylvania Association of Nonprofit Organizations. ANDREW J. MILLER is a partner with MPL Law Firm, LLP, where his practice concentrates on business and commercial law, real estate law, and municipal and land use law. Mr. Miller counsels small and medium size for-profit and not-for-profit enterprises on almost all aspects of doing business. He regularly helps clients establish new businesses and has assisted in the start-up of business entities ranging from sole proprietorships to limited liability companies to corporations. Mr. Miller has also guided clients through stock purchases and sales, mergers, business splits, and asset acquisitions and sales. In addition, he advises existing businesses on a variety of other legal matters, including copyrights, trademarks, trade secrets, franchises, contracts, collections, sales and use tax, real estate, environmental, municipal and land use matters, and employment matters.
