STEVEN ROSARD is the principal and sole member of Rosard Law Firm LLC. He is a corporate, securities and business lawyer focused on the needs of start-up and emerging technology companies and early-stage investors. Mr. Rosard has broad experience representing and counseling private and publicly-traded companies, founders, and venture capital investors in connection with business formations, operations and capitalizations, technology agreements, corporate and real estate financings including private and public offerings of securities, commercial transactions, and mergers and acquisitions. He has practiced within large and small law firms, including Mintz Levin in Boston and the former boutique firm of Braemer, Abelson & Hitchner in Philadelphia. During much of the 1990s, he was Vice President and Senior Corporate Counsel for Safeguard Scientifics, a NYSE-listed technology and venture capital company, where he was widely respected as a business-oriented lawyer. Mr. Rosard earned his J.D. degree, cum laude, from the University of Pennsylvania Law School, where he was an editor of Penn Law Review. He is a member of the Philadelphia, Pennsylvania, and American bar associations.

ANDREW D. SANTANA is an attorney with Fox Rothschild LLP, where he is legal counsel and trusted advisor to privately held businesses, entrepreneurial individuals and investors in the manufacturing, retail, professional, franchise, transportation, food service, construction, technology and real estate industries. He provides a wide range of corporate, real estate, tax and regulatory services to clients. Mr. Santana represents principals, directors, officers and executives on such issues as entity selection and restructuring; mergers and acquisitions; strategic alliances and joint ventures; licensing, distribution and strategic agreements; executive employment, compensation and benefits arrangements; partnership issues; business separations and exit strategies; and complex issues of corporate governance. He earned his B.A. degree from George Washington University, his J.D. degree from Villanova University School of Law and his M.B.A and LL.M. degrees from Villanova University School of Law. Mr. Santana is a member of the Montgomery and American bar associations.
