PHILLIP G. ECKENRODE is an attorney in the Columbus office of Hahn Loeser & Parks LLP, where he focuses his practice in commercial litigation and creditors' rights issues. He represents clients in both state and federal courts and in private arbitration on a variety of business-related issues, including: breach of contract, enforcement of non-compete clauses, and protection of copyrights and trade secrets, among others. Mr. Eckenrode also dedicates a significant portion of his practice to representing financial institutions in the enforcement of commercial loan documents, which includes foreclosure actions involving large commercial properties in both state and federal courts, the appointment of receivers over those properties, and the eventual sale of the properties and the replevin of assets. He earned his B.A. degree, cum laude, from Kent State University and his J.D. degree from The Ohio State University Moritz College of Law. LESLIE S. JOHNSON is a partner in the Columbus office of Hahn Loeser & Parks LLP, where she focuses her practice in business and corporate matters, including entity selection analysis, business planning, executive compensation arrangements, buy-sell and close corporation agreements, confidentiality and noncompetition agreements; the structure, preparation and implementation of joint ventures and strategic partnering relationships; corporate governance and compliance matters such as Sarbanes-Oxley compliance, codes of ethics, fiduciary duties of directors, board committee charters, internal controls, disclosure and document retention policies; and merger and acquisition transactions, including diligence, structure, negotiation and documentation. She also provides immigration counseling in which she regularly consults companies on strategies for employing foreign nationals on a temporary or permanent basis and represents multi-national corporations seeking to employ or transfer international personnel to the United States. She also conducts I-9 audits and advises employers on employment eligibility and I-9 compliance, counseling the company and providing training to human resource professionals on best practices to ensure that the company complies with employment eligibility verification requirements while avoiding immigration discrimination violations. Among her accomplishments, Ms. Johnson has been recognized in the 2009-11 editions of Ohio Rising Stars by Ohio Super Lawyers. She earned her B.A. degree from The Ohio State University and her J.D. degree from Capital University Law School. LARK T. MALLORY is senior counsel with Chester Willcox & Saxbe, LLP, where she specializes in representing tax exempt organizations and closely-held businesses in all taxation and business transactions, and serves as general counsel to closely-held businesses in acquiring and disposing of assets and obtaining financing. Ms. Mallory earned her B.S.B.A. degree from The Ohio State University; her J.D. degree from The Ohio State University; and her LL.M. degree from the University of Florida Graduate Tax Program. Ms. Mallory is also a certified public accountant (inactive). She is a member of the Ohio State, Maryland State, Columbus, American and National bar associations, as well as the John Mercer Langston Bar Association and the Women Lawyers of Franklin County. BENJAMIN S. ZACKS is the founding member of the Columbus firm of Zacks Law Group LLC, where his practice includes representation of businesses and individuals in connection with business formation, restructuring, wealth planning and funding, asset preservation, estate planning and probate, entrepreneurial law, health care practice group law, intellectual property, computers, energy and technology, debt restructuring, taxation, accounting, auditing, asset recovery matters, and international transactions. He has particular real estate experience in acquisitions and dispositions, commercial and residential lease transactions, permanent and construction financing (on behalf of both lenders and borrowers), office and condominium development, syndications, joint ventures, construction and architect contracts, developer representation, title insurance, zoning and land use development, planning services and litigation services at the trial and appellate levels (state and federal), and in arbitration. Mr. Zacks is a graduate of the Harvard Negotiation Project and has lectured to various professional groups on entity selection, professional ethics, taxation, property rights, buying and selling real estate, title insurance, zoning, and land use issues.
