TIMOTHY R. ALLEY is a sole practitioner in Toledo. Mr. Alley focuses his practice on estate planning, Medicaid planning, elder law issues and business planning. He has lectured to laypersons, social workers and other professionals on matters related to Medicaid, estate planning and elder law. TONY KUHEL is a partner in the corporate transactions and securities practice group at the law firm of Thompson Hine LLP. Mr. Kuhel focuses his practice in the areas of mergers and acquisitions, including public company mergers, joint ventures, including real estate development joint ventures, and other strategic transactions, private equity and venture capital transactions, manufacturing, distribution, supply and other commercial agreements, corporate governance and general corporate matters. He earned his B.A. degree in economics from George Washington University and his J.D. degree, magna cum laude, from Case Western Reserve University School of Law, where he was a member of the Case Western Reserve University Law Review. Mr. Kuhel was selected as a Rising Star Super Lawyer by Ohio Super Lawyer magazine in 2009. BRUCE D. LAZAR is a member in the business section of Eastman & Smith LTD. His primary practice areas are mergers and acquisitions, securities and general corporate law. Mr. Lazar has represented numerous clients in connection with stock and asset acquisitions and sales, mergers, private placement offerings and entity formations. He has counseled executive management of several large insurance, service and manufacturing businesses on all aspects of their operations. Mr. Lazar has presented numerous seminars on choice of business entity, limited liability companies, limited partnerships and franchising. He is a member and participant in the Ohio State Bar Association and the Toledo Bar Association, where he has served as the chairman of the Business Law Committee. Mr. Lazar earned his J.D. degree from the University of Toledo College of Law, his B.S.B.A. degree in accounting from John Carroll University, and his M.B.A. with a concentration in finance from the University of Toledo. PETER NEALIS is an attorney in the Cleveland office of Taft Stettinius & Hollister LLP. Mr. Nealis has substantial experience representing both public and private companies and investors in a variety of securities, regulatory, and corporate governance matters. He also has represented many private businesses, including start-ups and emerging growth companies, in their initial capital raising ventures and subsequent private placements, and has substantial experience in the area of partnership and limited liability company formation and governance, and related tax issues. Mr. Nealis has represented businesses and their owners in connection with all aspects of the mergers and acquisitions process, and counsels clients on a wide variety of general corporate and business matters including, intellectual property protection and licensing.
