ERIC D. DUFFEE is an attorney with the law firm of Kegler, Brown, Hill & Ritter Co., LPA. Mr. Duffee focuses his practice primarily in the areas of business, intellectual property and estate planning. He advises buyers and sellers in acquisition transactions, including mergers, asset purchases, stock purchases and reorganizations (both domestic and international). He also has experience in deal structuring and negotiation and regularly counsels clients on all legal aspects of business combinations. Mr. Duffee is a member of the Columbus, Ohio State and American bar associations. He earned his B.A. degree, summa cum laude, from Drake University and his J.D. degree, summa cum laude, from The Ohio State University Moritz College of Law. Mr. Duffee was named an Ohio Rising Star by Law & Politics magazine for 2010. IVERY D. FOREMAN is a partner in the Columbus, Ohio office of Vorys Sater Seymour & Pease LLP and a member of the corporate and finance group. He practices primarily in the areas of corporate mergers and acquisitions, securities and antitrust regulatory law. Mr. Foreman has more than 30 years of experience in representing public and private corporations on matters such as public offerings and private placements, joint venture and partnership arrangements, compliance with the Securities and Exchange Commission (SEC) reporting and disclosure requirements, corporate reorganizations, and debt financings. He also has extensive experience advising companies regarding compliance with the Hart-Scott-Rodino Antitrust Improvements Act of 1976. Mr. Foreman has been an adjunct professor at Ohio State University Moritz College of Law and Capital University Law School. He also has spoken on a variety of topics including forming, operating and growing a business to the Minority and Female Business Expo and the South Central Ohio Minority Business Council. Mr. Foreman earned his B.A. degree, magna cum laude, from Tufts University; his M.B.A. degree from Northwestern University, Kellogg Graduate School of Management; and his J.D. degree from Northwestern University School of Law. He is a member of the American, National, Columbus and John Mercer Langston bar associations. TIM JOCHIM is chair of the Business Succession & ESOP Group at the law firm of Kegler, Brown, Hill & Ritter Co., LPA, and is a national authority on ESOPs and business succession. He also is part of the firm's mergers & acquisitions and employee benefits practice areas. Mr. Jochim has expertise in the negotiation and structuring of business transactions, as well as in several substantive areas of law, including corporate, merger/acquisition, employee benefits and corporate tax. He has assisted clients in developing and implementing professional boards of directors and has lectured frequently to business and trade organizations on business succession and corporate governance. A former professor of corporate finance and business policy at several Ohio universities, he also has previously served as manager of industrial development for the Ohio Department of Development. He is the co-founder of the Ohio chapter of The ESOP Association and a member of its legislative and regulatory committee. He also is a member of other professional organizations, such as the Association for Corporate Growth and the National Center for Employee Ownership. Mr. Jochim earned his B.A. and M.A. degrees from the University of North Dakota and his J.D. degree from the University of Akron School of Law. KEVIN M. MUELLER is a sole practitioner in Columbus. Mr. Mueller represents clients on mergers and acquisitions, particularly private equity investments and transactions; various financing transactions, including debt and equity offerings; and general corporate matters such as entity formation and reorganization, commercial transactions, and product licensing and distribution arrangements. He handles matters for the firm's clients and at all levels of the capital structure in a wide range of industries, including the payments, banking and financial supply chain industry, manufacturing financial services, technology and life sciences.
