MICHAEL A. ELLIS is a corporate and securities attorney at Porter Wright Morris & Arthur LLP, in the Cleveland office. His focus includes the areas of mergers and acquisitions, private and public securities offerings, corporate governance and SEC disclosure obligations, proxy, executive compensation and shareholders' communications matters and defensive tactics in tender offers. Mr. Ellis also counsels clients, including startup and emerging growth companies, in venture capital, equity and debt financings. Mr. Ellis lectures and writes articles on securities law, mergers and acquisitions and general corporate matters. He has spoken annually since 1995 at the Practicing Law Institute's seminar on Acquiring or Selling the Privately Held Business. Further, he taught courses on mergers and acquisitions as an adjunct professor at Cleveland-Marshall College of Law from 1999-2000. Mr. Ellis has also been recognized by the publishers of Law & Politics and Cincinnati Magazine as an Ohio Super Lawyer and has been named in The Best Lawyers in America in the area of corporate law. He earned his B.A. and M.A. degrees from the University of Pennsylvania and his J.D. degree from Duke University School of Law. MARIO J. FAZIO is a partner in the law firm of Meyers, Roman, Friedberg & Lewis. He concentrates his practice in representing start-up and early-stage growth companies; designing and drafting LLC operating agreements and buy-sell agreements for closely-held businesses; succession and estate planning; corporate, partnership and real estate taxation; formation of and planning for tax-exempt organizations; charitable giving; and representing companies and individuals in tax audits, appeals and collection matters. He is a former IRS Chief Counsel Attorney. Mr. Fazio is a member of the American and Cleveland bar associations. He earned his B.A. degree from The Ohio State University and his J.D. degree and LL.M. degree, in taxation, from Case Western Reserve University. Mr. Fazio is a certified specialist in federal taxation law by the Ohio State Bar Association and is listed in Ohio Super Lawyers for 2008 through 2011 in federal taxation. RICHARD B. FRY III is an attorney in the Akron office of Buckingham, Doolittle & Burroughs, LLP. Mr. Fry works in the Business Practice Group and has experience in a wide variety of areas, including federal and state tax matters, mergers and acquisitions, and business formation. He is a member of the Akron, American and Ohio State bar associations. Mr. Fry earned his B.B.A. degree, cum laude, from Kent State University, his M.S.T. degree from The University of Akron College of Business Administration and his J.D. degree, summa cum laude, from The University of Akron School of Law. THOMAS I. HAUSMAN is an attorney with the law firm of Schneider, Smeltz, Ranney & LaFond P.L.L., where he counsels a variety of clients on partnership, estate planning, and corporate tax matters. He has represented many clients in connection with the formation, management, operation and liquidation of partnerships and limited liability companies; the sale of partnership interests; the reorganization of partnerships and limited liability companies; and the allocation of profits and losses among partners. He also practices in the areas of estate planning and tax controversy work before the Appeals Office of the Internal Revenue Service and the U.S. Tax Court. Mr. Hausman was the administrative director of the graduate tax (LL.M.) program and a faculty member of Case Western Reserve University Law School, where he taught courses in partnership tax, estate planning, and corporate tax. He is currently an adjunct professor at CWRU Law School, where he teaches estate planning. Mr. Hausman is a member of the Tax Specialty Board of the Ohio State Bar Association, which is responsible for making recommendations to the Ohio Supreme Court for the certification of a lawyer as a tax specialist. Mr. Hausman is a member of the Tax Section of the American Bar Association, where he has for many years been a member of the Partnership Tax Committee.
