BERNARD I. AGIN is a shareholder in the Beachwood, Ohio, law firm of Agin and Agin Co. L.P.A. He is also a partner in the accounting firm of Agin and Agin, devoting the majority of his practice to business valuations, assessment of economic damages, probate, taxation and business law. Mr. Agin is a certified public accountant and a certified valuation analyst. He has written articles for the Domestic Relations Journal of Ohio, and has been a frequent lecturer in the areas of business valuations, understanding the complexities of personal and business tax returns and the assessment of economic damages, which have included written articles for the lectures presented. Mr. Agin also has been a lecturer for the National Association of Certified Valuation Analysts on the areas of economics and statistics. He earned his B.S. degree, cum laude, from The Ohio State University, his M.A. degree in economic theory and statistics from The Ohio State University and his J.D. degree from the Cleveland-Marshall College of Law, Cleveland State University. Mr. Agin is a member of the Ohio State Bar Association and the National Association of Certified Valuation Analysts. He has been noted in the Best Lawyers in America - Directory of Expert Witnesses. Mr. Agin has served as special master, receiver and court appointed appraiser in numerous domestic relations cases. He has been accepted as a court approved appraiser for business interests by probate court. JEFFREY A. CROSSMAN is a sole practitioner in Cleveland, Ohio. Mr. Crossman has been an attorney for more than nine years and practices in the areas of bankruptcy, real estate and business law. He provides legal services to a broad range of clients from established companies to startup companies, and consumers in need of sound legal counsel. Before starting his own practice, Mr. Crossman was corporate counsel for a large, publicly traded company, and also served as an associate attorney for a well respected regional law firm based out of Cleveland. He is a member of the Ohio State Bar Association and also is licensed to practice in Pennsylvania. Mr. Crossman earned his B.A. degree from Mount Union College, his M.A. degree from the University of Akron and his J.D. degree, magna cum laude, from Cleveland-Marshall College of Law. MARIO J. FAZIO is a partner in the law firm of Meyers, Roman, Friedberg & Lewis. He concentrates his practice in representing start-up and early-stage growth companies; designing and drafting LLC operating agreements and buy-sell agreements for closely-held businesses; succession and estate planning; corporate, partnership and real estate taxation; formation of and planning for tax-exempt organizations; charitable giving; and representing companies and individuals in tax audits, appeals and collection matters. He is a former IRS Chief Counsel Attorney. Mr. Fazio is a member of the American and Cleveland bar associations. He earned his B.A. degree from The Ohio State University and his J.D. degree and LL.M. degree, in taxation, from Case Western Reserve University. Mr. Fazio is a certified specialist in federal taxation law by the Ohio State Bar Association and is listed in Ohio Super Lawyers for 2008 through 2011 in federal taxation. PETER NEALIS is an attorney in the Cleveland office of Taft Stettinius & Hollister LLP. Mr. Nealis has substantial experience representing both public and private companies and investors in a variety of securities, regulatory and corporate governance matters. He also has represented many private businesses, including start-ups and emerging growth companies, in their initial capital raising ventures and subsequent private placements, and has substantial experience in the area of partnership and limited liability company formation and governance and related tax issues. Mr. Nealis has represented businesses and their owners in connection with all aspects of the mergers and acquisitions process, and counsels clients on a wide variety of general corporate and business matters including intellectual property protection and licensing.
