RONALD J. COHEN is the managing partner of the law firm of Cohen, Labarbera & Landrigan LLP, where he devotes the majority of his practice to tax and commercial law. A graduate of Brooklyn College, City University of New York (accounting honorary), he earned his J.D. degree from St. John's University School of Law and his LL.M. degree from the University of Bridgeport. Mr. Cohen has been a guest lecturer for numerous groups. He is a member of the New York State Bar Association, and is admitted to practice before the U.S. Tax Court and the Eastern, Southern and Northern district courts of New York. ANDREW N. KARLEN is a partner with Karlen & Stolzar, LLP. He began his career as an attorney with the U.S. Securities and Exchange Commission. Mr. Karlen is licensed to practice law in New York, Connecticut and Florida, and has worked for prominent regional law firms and as a single practitioner prior to the formation Karlen & Stolzar, LLP in 2005. He earned his J.D. degree from New York Law School and his Masters of Law from the New York University School of Law. Mr. Karlen is a member of the Family Firm Institute, an international organization of professionals from diverse disciplines who advise family businesses, and in 2007 received its Certificate in Family Business Advising With Fellow Status. He also is a member of Attorneys for Family-Held Enterprises (AFHE) and has been a speaker at both of these organizations' annual conferences. In addition, Mr. Karlen is co-chair of the Westchester County Bar Association's Corporate and Commercial Law Committee and a frequent lecturer at continuing education programs. ANTHONY J. MESSINA is an attorney and counsellor at law. His areas of practice include, civil and criminal litigation in both New York State and Federal Courts, and Surrogates litigation. Mr. Messina's practice areas include residential and commercial real estate; commercial practice including incorporations, business sales and purchases; and personal injury matters. He also handles preparation of appellant and respondent briefs in adverse possession matter and breach of employment contract matters. Mr. Messina is responsible for daily business operations and management of the firm. He attended Bedford Rippowam School, earned his B.A. degree from Pace University and his J.D. degree from Pace University School of Law. Mr. Messina is admitted to the New York State Bar Association, the Federal Bar, and the U.S. District Courts for the Southern and Eastern districts of New York. MICHAEL STOLZAR is an attorney with Karlen & Stolzar, LLP, where he offers the firm's clients an extraordinary combination of analytical skills, experience, legal knowledge and skill in negotiating contracts and other legal documents. He counsels businesses in raising capital through private placements and public offerings and represents public companies in matters relating to compliance, reporting and other requirements of federal securities laws and the rules of self-regulatory organizations. Additionally, Mr. Stolzar represents businesses of all sizes in mergers, acquisitions, recapitalizations, financings and other complex transactions. His clients include investment bankers and advisors, whom he counsels on all aspects of their businesses including structural organization.
