FREDERICK W. BARTELSMEYER is a partner in the law firm of Bryan Cave LLP, where his practice serves businesses in a wide range of domestic and foreign matters. These clients primarily are U.S., European and Asian companies in connection with their investments and other business activities. He is knowledgeable in business-related aspects of the world's legal systems, as well as in business practices and cultures of many countries. Mergers and acquisitions, joint ventures, technology transactions and other commercial relationships such as licensing, teaming, research and development, distribution and supply are the focus of Mr. Bartelsmeyer's activities. He spends most of his time assisting clients in planning, negotiating, documenting and implementing these transactions, often in conjunction with a team of Bryan Cave LLP lawyers and lawyers from other firms which he has assembled for the specific project. Mr. Bartelsmeyer also advises clients on international antitrust and trade issues. He practices law in both the English and German languages. Mr. Bartelsmeyer conducted his international transaction practice from the firm's New York office from 1986 to 1989, having particular emphasis on work for Japanese and European clients. He maintained a European-based transaction practice and managed the firm's German office for six years beginning when he moved to Frankfurt in 1990. After Mr. Bartelsmeyer returned to St. Louis in 1996, his practice continued in international transactions, trade and antitrust matters, and in particular since then he has extensively advised clients on matters in Asia, including China, Japan, India, Korea, Singapore and other Asian countries. He now is responsible for managing the firm's practice matters in Europe and supporting the Bryan Cave International Trade offices in Asia. Mr. Bartelsmeyer also is a member of the firm's executive committee. He is recognized by The Best Lawyers in America in the area of international trade and finance law. He regularly makes presentations and prepares articles on topics of international trade, transactions, antitrust, technology investments and business law. He earned a B.S. degree, with high honors, from the University of Illinois and his J.D. degree, magna cum laude, from the University of Illinois. Mr. Bartelsmeyer passed the CPA examination in 1979, and he worked on the audit staff of a large public accounting firm before attending law school. He also studied German and European law at the Johann Wolfgang Goethe-University in Frankfurt am Main, Germany. THOMAS H. BOTTINI is a partner in the law firm of Armstrong Teasdale LLP, where he works with foreign and domestic companies of all sizes in all aspects of international commercial and financial transactions, foreign direct investment global management, intellectual property protection, and international trade. Familiar with the nuances of local laws in many countries, Mr. Bottini reviews the economics to save organizations time and money and help them develop worldwide networks. From 2001 to 2003, he served as chief representative of the firm's office in Shanghai, China. Whether a company wishes to establish a new business or desires to increase its existing global presence, Mr. Bottini advises on the optimal structure and risks involved for a foreign direct investment. He guides in corporate formation, finance and capital investment, tax structures, local ownership issues in joint ventures, rules for investors and investment issues, intellectual property, due diligence, selling over the Internet, and employment/personnel matters. For lenders, manufacturers/sellers, or other parties extending overseas financing, he assists with guarantees, letters of credit, negotiable instruments, counter-trade, and documentary collections. Mr. Bottini is also experienced in swap contract deals. Prior to joining his current firm, he practiced in the legal departments of Monsanto Company (Assistant International Counsel) and McDonnell Douglas Corporation (Chief Counsel - International) where he was involved in a broad array of international projects, acquisitions and transactions in Latin America, Asia and Europe. Mr. Bottini received his B.S. degree from St. Louis University, his J. D. degree from the University of Virginia School of Law in 1971, and an LL.M. in International and EU Law from the University of London in 1972. CHUCK is a partner at the law firm of Bryan Cave LLP, where he leads the firm's global International Trade Practice Group. Mr. Chuck is also the managing partner of the firm's Shanghai office and China practice. His practice focuses on international transactions, with significant emphasis on cross-border acquisitions, project development and government compliance in Asia. He has defended multinational companies in anti-bribery and customs investigations with various government authorities in Asia. Mr. Chuck also counsels U.S. companies and audit committees in investigations involving the U.S. Foreign Corrupt Practices Act. His clients frequently offshore or outsource their design and manufacturing needs to firms throughout Asia, including China, Indonesia, Singapore, Taiwan, South Korea, Philippines and India. Mr. Chuck represents industrial contract manufacturers in negotiating agreements with original equipment manufacturers and distributors in the U.S., Mexico and Europe. He has experience in a broad range of industries, including semiconductor assembly and testing, electric generation (coal and solar), GPS, automotive, alcoholic spirits, healthcare, cosmetics, medical device design, advertising services, industrial goods and commodities (metals). His current Asian clients include sponsors of RMB denominated funds as well as publicly traded Chinese companies and international financial institutions. Mr. Chuck also represents European and Australian companies with “cleantech” solutions being implemented thoughout Asia. He regularly participates as a guest lecturer in programs sponsored by the American Law Institution-American Bar Association (ALI-ABA), the National Asian Pacific Bar Association, the California Minority Counsel Program and the Minority Corporate Counsel Association. Mr. Chuck received his B.A. degree, with honors, from Johns Hopkins University, and his J.D. degree from The George Washington University. He has been named a Southern California Super Lawyer for every year since 2004. JIA YOU is an attorney in the law firm of Armstrong Teasdale LLP, where she is a member of their International practice group. She previously worked in Armstrong Teasdale LLP's Shanghai office. Ms. You concentrates on corporate/commercial transactions, employment law, and intellectual property. She is fluent in Mandarin Chinese, Shanghai Dialect Chinese, Wenzhou Dialect Chinese, and English, her practice covers a variety of matters for foreign investment enterprises in China. Focusing on intellectual property prosecution and enforcement, Ms. You advises on trademark applications, opposition, cancellation, and enforcement; patent invalidation, enforcement, and licensing; and domain name application and dispute resolutions. She also is experienced in business transactions including mergers and acquisitions, corporate restructuring and financing, and employment law. Ms. You earned her LL.M. degree, with honors, from Chicago-Kent College of Law, Illinois Institute of Technology, her LL.B. degree, with honors, from East China University of Politics and Law and completed an Exchange Program with Vrije University. She is admitted to practice in Missouri, New York, and the People's Republic of China.
