JAMES M. MATTHEWS is of counsel with the Kansas City law firm of Bryan Cave LLP, where his practice is concentrated in the areas of business and estate taxation and planning. He has lectured at state and local taxation seminars sponsored by The Missouri Bar. Mr. Matthews has written chapters on interstate sales and use taxation and sales and use tax procedures in Missouri Taxation Law and Practice (Fourth Edition). He wrote "Taxation of Exempts on Non-Profit Organization Policies" published in The Journal of Multistate Taxation and Incentives. Mr. Matthews also wrote an article on sales and use tax liability of transferees and successors appearing in The Missouri Bar Journal, and co-wrote a chapter in another Missouri Bar deskbook dealing with estate planning. He is past chairman of the Taxation Committee of The Missouri Bar and an original member of the Director of Revenue's Advisory Group. Mr. Matthews is a member of The Missouri Bar, the American Bar Association (member, Taxation, Corporation, Banking and Business Law, Real Property, Probate and Trust Law sections) and the Kansas City Metropolitan Bar Association (member and past chairman, Taxation Committee). He earned his B.A. degree from Washington University in St. Louis; his J.D. degree from St. Louis University; and his LL.M. degree, in taxation, from Georgetown University. ROBERT T. P. METCALF JR. is the business valuation member of Marks, Nelson, Vohland, Campbell & Radetic, LLC. Since 1995, Mr. Metcalf has provided business valuation and litigation support services for clients. In addition to business valuation and litigation support services, his experience includes financial accounting, tax compliance and tax planning. He has testified as an expert witness in district courts regarding business valuation and related issues. He has earned the Accredited in Business Valuation and the Certified in Financial Forensics designations from the American Institute of Certified Public Accountants, the Certified Valuation Analyst and Certified Forensic Financial Analyst designations from the National Association of Certified Valuation Analysts, the Certified Business Appraiser designation from the Institute of Business Appraisers, and the Accredited Senior Appraiser designation from the American Society of Appraisers. He is a member of all these accrediting organizations. Mr. Metcalf obtained his C.P.A. certificate from the state of Alaska in 1988. He obtained a C.P.A. certificate from the state of Kansas in 1995 and from the state of Missouri in 2001. Mr. Metcalf has a Bachelor of Arts in Economics from Harvard University. He is a member of the American Institute of Certified Public Accountants and the Kansas Society of Certified Public Accountants, and is a licensed C.P.A. in Kansas. PETER MIRAKIAN III is a partner with the Kansas City law firm of Spencer Fane Britt & Browne LLP, and practices with the business and finance group. He focuses his practice in the areas of business law, mergers and acquisitions, securities, tax, and telecommunications. Mr. Mirakian represents public and private companies and individuals in complex U.S. and international transactions; registered and unregistered securities offerings; securities regulatory compliance; and business and tax planning. He is a member of The Missouri Bar; the American Society of Corporate Secretaries; and the Johnson County, Kansas and American bar associations. Mr. Mirakian earned his B.A. degree, with highest distinction, and his J.D. degree from the University of Kansas. VICKI R. WESTERHAUS is a partner in the law firm of Stinson Morrison Hecker LLP, with extensive experience in complex corporate and securities law transactions. She counsels clients concerning financing and corporate governance matters, as well as merger, acquisition and joint venture transactions. Ms. Westerhaus has written several articles regarding corporate and securities law matters and has spoken at various seminars and programs regarding merger and acquisition transactions, corporate governance, and securities law matters. She earned her B.J. degree, with high distinction, and her J.D. degree, with distinction, from the University of Nebraska. Ms. Westerhaus currently serves on the advisory board of the Kansas City Chapter of the Society of Corporate Secretaries and Governance Professionals and also served as past president of the society. Ms. Westerhaus is past president of the Kansas City Tomorrow Alumni Association, The Foundation of The Lawyers Association of Kansas City and The Lawyers Association of Kansas City. Ms. Westerhaus also is a member of The Missouri Bar, the Lawyers Association of Kansas City, and the Kansas and Kansas City Metropolitan bar associations. Ms. Westerhaus was listed in the 2012 edition of The Best Lawyers in America for corporate governance law, corporate law and mergers & acquisitions law. MITCH WOOLERY is a partner in the Kansas City, Missouri office of Kutak Rock LLP, a national law firm. In his more than 25 years of practice, Mr. Woolery has served as lead counsel to public and private companies and investment funds in numerous complex multimillion-dollar mergers, acquisitions and financings. He has represented growth companies in corporate, securities and finance matters. He also has represented issuers and investors in all stages of capital formation including angel, venture, private equity and mezzanine investments, and initial public offerings (IPOs). Mr. Woolery is an adjunct professor of law at the UMKC Law School where he teaches securities regulation (since 2009). He received his A.B. degree, with honors, from the University of Chicago, and his M.B.A. degree from the University of Missouri-Kansas City Bloch School of Business. He received his J.D. degree, with honors, from University of Missouri-Columbia School of Law.
