DIDION is a senior associate at Hoffman Clark LLC. Her accounting experience includes both financial statements and taxation. Ms. Didion also specializes in dispute advisory services, where she has consulted in damages analyses for litigation cases involving breach of contract, patent infringement and trade secret misappropriation. Prior to joining Hoffman Clark LLC, she practiced in public accounting with PricewaterhouseCoopers in Los Angeles, where she assisted businesses ranging from film, motion picture studio and media clients to telecommunications and manufacturing companies. Ms. Didion earned her B.S. degree and MAcc degree and graduated, magna cum laude, from the University of Missouri-Columbia. She is a Certified Public Accountant. MARK E. HOFFMAN is a member of Hoffman Clark LLC. He has more than 30 years experience providing litigation consulting, valuation or other advisory services. Mr. Hoffman's expertise extends to businesses, intellectual property and transactions. His service includes being appointed an adjunct professor on the faculty at Washington University. Mr. Hoffman has served as a partner at one of the world's largest public accounting firms and as an expert witness on questions relating to damages in federal district court, state court, U.S. bankruptcy court and arbitration settings. He earned his MBA and B.S.B.A. degrees from St. Louis University. Mr. Hoffman is a Certified Public Accountant, Certified Licensing Professional, Certified Management Accountant, Certified Valuation Analyst and a Certified Fraud Examiner. MICHAEL D. MORHAUS is a senior manager in the firm of Anders Minkler & Diehl LLP's valuation and litigation services group. As an expert witness, he has helped clients, law firms and government agencies succeed in various legal matters. Mr. Morhaus also has experience in most types of business ownership interests, including common stock, preferred stock, ownership units, member units, partnership interests, debt instruments and derivative securities. He also has valued intangible assets related to marketing, technology, customers, contracts and human capital. Mr. Morhaus joined AMD as a manager in 2006. His specialties include business valuations, FAS 141 purchase price allocations; intellectual property valuation; income tax valuation; debt instrument valuations; litigation support and expert testimony; FAS 142 goodwill impairment testing; economic damages and lost profit; gift and estate tax valuation; and financial derivatives. Mr. Morhaus is a certified public accountant with the state of Missouri, Accredited in Business Valuation (ABV) and Certified in Financial Forensics (CFF), each awarded by AICPA, an Accredited Senior Appraiser (ASA) awarded by ASA and a Certified Valuation Analyst (CVA) awarded by NACVA. He earned his B.S. degree from Truman State University. Mr. Morhaus is a member of the American Institute of Certified Public Accountants, the American Society of Appraisers (past president and secretary of the St. Louis Chapter), the Missouri Society of Certified Public Accountants (member of the Business Valuation Committee) and the National Association of Certified Valuation Analysts. He also is the editorial advisor for the Journal of Accountancy and a member of the Ask the Experts teams for the CPA Expert, an AICPA sponsored email publication. R. PRESCOTT SIFTON JR. is a partner in the law firm of Husch Blackwell Sanders LLP, where he focuses his practice in business and financial services litigation, including securities, banking and commercial insurance. Mr. Sifton's experience includes numerous jury and bench trials in state and federal court. He earned his B.S. degree from Truman State University and his J.D. degree from the University of Michigan. Mr. Sifton is a member of the American Bar Association, The Bar Association of Metropolitan St. Louis (Federal Litigation and Practice Committee), and The Missouri Bar (vice chair, Legislative Committee, 2004).
