EARL H. COHEN is the managing shareholder and chief executive officer of Mansfield Tanick & Cohen P.A., where he focuses his practice in the broad areas of estate, business, asset protection planning and estate administration, assisting his individual and business clients with the organization, operation and, when necessary, financial reorganization of their business and/or individual interests. Mr. Cohen regularly advises professional business clients on asset protection strategies as part of their estate and business plans, and fiduciaries and beneficiaries on their obligations and rights. He serves as counsel and special advisor to businesses ranging from food production to high tech computer manufacturing and software. From 1978-1986, Mr. Cohen served as chairman for Kensington Properties, Inc., a full service real estate development and management company specializing in property rehabilitation and secondary markets with successful developments throughout the upper Midwest and North Dakota, Minnesota, Illinois and Missouri. He has served on the Board of Directors of United Systems Technology, Inc., a publicly traded software development firm in Dallas, Texas, since 1995. Mr. Cohen earned his B.S. degree from the University of Minnesota and his J.D. degree from the University of Minnesota Law School. He also is a member of Hennepin County, Minnesota and American bar associations. SCOTT M. NELSON is an attorney in the Minneapolis law firm of Lommen, Abdo, Cole, King & Stageberg, P.A., where his areas of practice are estate planning, probate, taxation, closely held business law, business succession planning, family business law, wealth preservation and elder law. The firm has a Hudson, Wisconsin, office where Mr. Nelson is also licensed to practice. He earned his B.S. degree from St. John's University and his J.D. degree, magna cum laude, Order of the Coif, from the University of Minnesota Law School. Mr. Nelson is a member of the Hennepin County, Minnesota State and American bar associations, the State Bar of Wisconsin, the Minnesota Society of Certified Public Accountants, the American Institute of Certified Public Accountants, and several professional and nonprofit organizations. JEFFREY C. O'BRIEN is a partner with Mansfield Tanick & Cohen, P.A., practicing in the areas of business and corporate law, real estate law, estate and business succession planning, and probate law. Mr. O'Brien's clients represent a diverse array of businesses and business owners including real estate agents, developers and investors, title companies, community banks, restaurant operators, manufacturing companies and franchised businesses. He has a significant experience with the formation of new businesses and oversees the Mansfield Tanick & Cohen Business INCubation Center, a unique program designed to assist new and developing businesses in their formative years. Mr. O'Brien serves on the Board of Directors of the American Association of Microbusinesses (AAM) and U.S.-China Business Connections (UCBC). He also is a Minnesota State Bar Association Board Certified Real Property Specialist. Mr. O'Brien earned his B.S. degree, with honors, from the University of St. Thomas in St. Paul, Minnesota, and his J.D. degree, with honors, from William Mitchell College of Law in St. Paul, Minnesota. He is admitted to practice in Minnesota and Wisconsin, and before the U.S. District Court for the District of Minnesota. A frequent lecturer and writer, Mr. O'Brien has presented and written articles on a variety of topics such as asset protection planning, entity conversions, real estate lending and loan documentation, and other general business matters.
