DALE R. BARINGER is a member of The Baringer Law Firm, LLC, and has 27 years of experience. SHAWN H. KIEFER is an attorney with Jones, Walker, Waechter, Poiterent, Carrere & Denegre, L.L.P. in their business and commercial transactions practice group. Mr. Kiefer's prior practice experience includes a combination of commercial litigation, bankruptcy, and transactional work, which gives him a unique perspective on business transactions. His current practice involves a variety of international and domestic commercial transactions including secured finance, real estate, acquisitions, and divestitures of privately held companies and their assets, syndicated financing involving state and federal incentive tax credits, special projects and a variety of other contractual relationships. Mr. Kiefer earned his J.D. degree and his BCL degree from the Paul M. Hebert Law Center, Louisiana State University. Mr. Kiefer has served as a judicial extern to Judge James J. Brady of the Federal District Court for the Middle District of Louisiana and as an adjunct professor of business law at Louisiana State University at Alexandria. ROBERT A. KUTCHER is a partner in the law firm of Chopin, Wagar, Richard & Kutcher, LLP, where he practices in the areas of commercial litigation, real estate, franchises and franchising litigation. He is the author of "Recent Developments in Business Entities," Louisiana State Bar Association's Recent Developments Manual. Mr. Kutcher has spoken for the Louisiana Attorney Disciplinary Board, Louisiana State Bar Association, the Loyola Law School and Tulane Law School on topics relating to ethics and business entities. He earned his B.A. degree from Cornell University and his J.D. degree, cum laude, from Loyola University. Mr. Kutcher is a member of the Louisiana State (House of Delegates), New York State, Federal and American bar associations, and former chairman of the Louisiana Attorney Disciplinary Board. WILLIAM C. PEREZ is special counsel to the law firm of Adams and Reese LLP, where he is a member of the corporate/securities/mergersĀ and acquisitions team in the firm's New Orleans and Washington, DC, offices. He is licensed to practice law in Louisiana, the District of Columbia, and Virginia. Mr. Perez has extensive experience in all aspects of public and private company corporate and securities matters. Mr. Perez is a member of the Virginia and D.C. In the community, he is active with St. Jude Children's Research Hospital in Memphis, Tennessee, and is a coordinator for St. Jude volunteers in the Greater New Orleans metro area. LEON H. RITTENBERG III is a member of law firm of Baldwin Haspel Burke & Mayer LLC, where his areas of practice include trust and estate planning, business law, mergers and acquisitions, probate administration, vessel financing, business formation, taxation, IRS examinations and controversies, vessel acquisition/disposition, business governance, agreements among owners, local and state sales and use tax, and federal and state income tax.
