DUNCAN MCQUEEN joined Van Osdol & Magruder, P.C. in April 2006. He provides legal counsel in connection with business formation, taxation and expansion strategies including strategic planning and the drafting and negotiation of various business agreements. Mr. McQueen also devotes an extensive portion of his practice to internet and technology related issues. He is a member of the Kansas City Metropolitan Bar Association and the America Bar Association; and is licensed in Missouri and Kansas. Mr. McQueen graduated, cum laude, from the University of Minnesota Law School in the top quartile of his graduating class and has earned his LL.M. in taxation from the University of Missouri-Kansas City. PETER MIRAKIAN III is a partner with the Kansas City law firm of Spencer Fane Britt & Browne LLP, and practices with the business and finance group. He focuses his practice in the areas of business law, mergers and acquisitions, securities, tax, and telecommunications. Mr. Mirakian represents public and private companies and individuals in complex U.S. and international transactions; registered and unregistered securities offerings; securities regulatory compliance; and business and tax planning. He is a member of The Missouri Bar; the American Society of Corporate Secretaries; and the Johnson County, Kansas and American bar associations. Mr. Mirakian earned his B.A. degree, with highest distinction, and his J.D. degree from the University of Kansas. ROBERT J. PAYNE is an attorney with the firm of King Hershey, PC. He is licensed to practice law in Missouri and Kansas. Mr. Payne has worked in the private practice of law and as in-house legal counsel. In private practice, he represents clients on transactional, organizational, governance, commercial, and other legal matters with particular legal expertise on merger and acquisition, and technology-related legal matters. As in-house legal counsel, Mr. Payne established the legal department and managed the legal matters for a publicly held and industry-leading railroad equipment and systems supplier. He also has worked as in-house counsel for an international animal pharmaceutical company. ERIC J. STEINLE is an associate with the business and finance group of Spencer Fane Britt & Browne LLP. Mr. Steinle's practice focuses on business transactions and planning. He earned his J.D. degree from the University of Kansas School of Law, where he was a member of the Kansas Law Review and recipient of the Robert E. Edmonds prize in corporation and securities law. Mr. Steinle earned his B.A. degree, with distinction and with honors, from the University of Kansas, where he was a member of Phi Beta Kappa and recipient of a Pi Sigma Alpha Faculty Award. He is licensed to practice in Kansas and Missouri. Mr. Steinle is a member of the Kansas City Metropolitan Bar Association and The Missouri Bar. VICKI R. WESTERHAUS is a partner in the law firm of Stinson Morrison Hecker LLP, with extensive experience in complex corporate and securities law transactions. She counsels clients concerning financing and corporate governance matters; as well as merger, acquisition and joint venture transactions. Ms. Westerhaus has written several articles regarding corporate and securities law matters; and has spoken at various seminars and programs regarding merger and acquisition transactions, corporate governance, and securities law matters. She earned her B.J. degree, with high distinction, and her J.D. degree, with distinction, from the University of Nebraska. Ms. Westerhaus currently serves on the advisory board of the Kansas City Chapter of the Society of Corporate Secretaries and Governance Professionals and also served as past president of the society. She is past president of the Kansas City Tomorrow Alumni Association, The Foundation of The Lawyers Association of Kansas City and The Lawyers Association of Kansas City. Ms. Westerhaus also is a member of The Missouri Bar, the Lawyers Association of Kansas City, and the Kansas and Kansas City Metropolitan bar associations. She was listed in the 2012 edition of The Best Lawyers in America for corporate governance law, corporate law and mergers & acquisitions law.
