MARK D. ANDERSON is a partner in the firm of Coman & Anderson, P.C., in Lisle, where he concentrates his practice in federal taxation, business law and estate planning. Mr. Anderson earned an LL.M. degree in taxation from Georgetown University Law Center. He is a member of the Chicago Bar Association, having served as chair of the Federal Taxation Committee, and of the American Bar Association serving as a member of the Section of Taxation. Mr. Anderson has previously lectured and written on various business and federal tax topics, including asset protection planning, tax aspects of LLCs, estate planning techniques and choice of entity issues for new businesses. Mr. Anderson earned his B.A. degree from Illinois State University and his J.D. degree from Loyola University Chicago School of Law. BRADFORD E. BLOCK is the principal of the Law Offices of Bradford E. Block in Northbrook. Mr. Block has been an attorney for more than 30 years and practices in the areas of business formation; mergers and acquisitions; not-for-profit organizations, private foundations, equity financing; tax law; and the preparation and negotiation of corporate and technology contracts. He has lectured to various professional groups on matters related to limited liability companies, partnerships and S corporations, and is a former adjunct professor of business planning and partnership law at DePaul University. Mr. Block is also a commercial mediator and a member of the Association of Attorney Mediators. He earned his B.S. degree from the Wharton School of Finance and Commerce at the University of Pennsylvania and his J.D. degree from DePaul University College of Law. KENNETH W. CLINGEN is the managing partner with the Wheaton law firm of Clingen Callow & McLean, LLC, and chairs the firm's Business Counseling Department. Mr. Clingen is general counsel to a number of privately owned businesses across a variety of industries. He also represents high net worth individuals and family offices. Mr. Clingen communicates on a day to day basis his client's key decision makers. He assists them in starting new business ventures, operating their ongoing business enterprises and preparing business succession plans for business owners. Mr. Clingen uses his accounting and finance background to properly balance business and legal considerations in his client representations. He is a member of the DuPage County and American (Taxation Section, Business Law Section, Law Practice Management Section) bar associations. Mr. Clingen has spoken and written on his practice areas. He earned his B.B.A. degree from the University of Notre Dame and his J.D. degree from Notre Dame Law School. He is also a certified public accountant. STEPHEN A. FROST is a partner with the law firm of Hinshaw & Culbertson LLP, where he practices in the areas of corporate, partnership and LLC documentation, business and commercial transactions, estate planning, taxation, estate and trust administration, and wealth preservation. Mr. Frost is a business lawyer and certified public accountant with more than 25 years of experience representing owners and investors in the formation, operation, restructuring and dissolution of businesses, particularly with regard to tax issues. In the area of business and transition planning, Mr. Frost advises business owners on the organization and operation of their businesses. He designs and assists in implementing workable strategies to transition the ownership of businesses, and is an adjunct professor at DePaul University Graduate School of Business. To ensure that each business can continue in accordance with an owner's wishes, Mr. Frost works with clients to address control issues, tax planning strategies and buy/sell arrangements. He earned his J.D. degree from the University of Iowa College of Law and his B.S. degree from Iowa State University. Mr. Frost is a member of the DuPage County and Illinois State bar associations, and The Missouri Bar. Mr. Frost is a member of the Leading Lawyers Network, where he was selected by his peers as a leading lawyer in the areas of closely and privately-held business law, tax law, business and individual law and trust, will and estate planning law. MARY K. WASIK is a partner at Levenfeld Pearlstein, LLC, and the vice chair of the Corporate Practice Group. Her general corporate representation is extensive and includes advising clients on structuring and preparation of limited liability company agreements, including real estate joint ventures, mergers and acquisitions, shareholder agreements, and manufacturing and distribution agreements. Ms. Wasik has worked with clients on stock restructurings and advised clients regarding their duties to shareholders and other day-to-day business matters. In addition to her corporate representation, she has negotiated and drafted various employment and severance agreements, and advised clients with respect to employment-related matters. Ms. Wasik also has experience structuring transactions between borrowers and lenders. She has represented clients in intellectual property matters, including trade and service mark registrations.
