WILLARD L. BOYD III is an attorney and shareholder in the business, banking and corporate department of the law firm of Nyemaster, Goode, West, Hansell & O'Brien, P.C. He has written and lectured on corporate law issues to various professional groups. He is a member of the Iowa State Bar Association (Business Law Section), The Missouri Bar, The District of Columbia Bar, the Minnesota State Bar Association and the American Bar Association. Mr. Boyd earned his B.A. degree, with high honors and distinction, from the University of Michigan and his J.D. degree, with distinction, from the University of Iowa. DANIEL S. KLEINBERGER is a professor of law and founding director for the Mitchell Fellows Program and vice dean for the academic programs at William Mitchell College of Law. His teaching areas include: limited liability companies, partnership, corporate and agency law, law of closely held businesses, contracts, and commercial transactions. Mr. Kleinberger is also engaged in a limited private practice, serving as an expert witness and counseling lawyers in legal issues relating to corporate, partnership, limited liability companies and commercial law. He occasionally serves as an independent counsel for special litigation committees (for both closely held and publicly traded corporations), and as a special counsel for publicly traded corporations in matters related to the indemnification of directors and officers. Mr. Kleinberger received his A.B. degree, summa cum laude, from Harvard College and his J.D. degree from Yale Law School. STEVEN J. ROY is a member of Nyemaster, Goode, West, Hansell & O'Brien, P.C.'s Tax, Estate Planning, and Employee Benefits Department and practices in the areas of nonprofit organizations; business planning and taxation; charitable giving; real estate taxation; and wealth transfer, trusts, and estates. Mr. Roy is a frequent speaker on the taxation of non-profit organizations, the taxation of limited liability companies and other flow-through entities, and on the taxation of corporate reorganizations in Iowa. Mr. Roy earned his B.S.B.A. degree, summa cum laude; his M.B.A. degree; and his J.D. degree, with honors, from Drake University. He is also a certified public accountant. Mr. Roy is a member of the American, Iowa State and Polk County bar associations. He is also a member of the Iowa Society of CPAs and the American Institute of CPAs. Mr. Roy was also named as one of The Best Lawyers in America (2001 - 2010). DAVID S. WALKER is the Dwight D. Opperman Distinguished Professor of Law at Drake University Law School, where he teaches in the areas of corporate and business law, including unincorporated businesses organizations and nonprofit organizations. He has been one of Iowa's Commissioners on Uniform State Laws since 1992, and was chaired the Iowa Commission since 2000. As a member of the National Conference of Commissioners on Uniform State Laws he has been a member of the drafting committees for the Uniform Limited Partnership Act and the Model Entity Transaction Act, and he chaired the Drafting Committee to revise the Uniform Limited Liability Company Act.
