JOHN D. DOVERSPIKE SR. is a sole practitioner in Roswell, where his areas of practice include corporate and business transactions, estate planning, probate, tax-exemption and tax compliance matters, with an emphasis on representing closely-held business clients and tax-exempt organizations, particularly charitable and religious organizations and healthcare matters. RAY DYER is a founding principal of the regional firm Covenant Consulting Group LLC, where he has dedicated his efforts to clients primarily in areas such as tax consulting, business transactional planning, devising strategic plans, estate/trust planning and planning for closely-held and family owned businesses. His clients include companies in the industry of trucking, real estate construction and development, real estate syndication, oil and gas syndication, manufacturing, healthcare organizations and professionals, financial institutions, and retail entities, among others. Mr. Dyer earned both his master's degree in tax accounting and B.S. degree from the Culverhouse School of Accountancy at the University of Alabama. After graduation, he joined two of the Big Eight (now Big Four) accounting firms in Dallas, Texas. During his time in Dallas, Mr. Dyer was a vice president and treasurer for a real estate syndication group for two years. In 2006, he was invited to be an adjunct professor in tax at the University of Alabama. Mr. Dyer is a contributing author of two books: The Real Estate Accounting and Reporting Manual, 2nd Edition and The Real Estate Accounting and Reporting Manual, 1989 Cumulative Supplement published by Warren Gorham & Lamont. Mr. Dyer was the president of the 57th Annual Federal Tax Clinic. The clinic is one of the longest running clinics of its type in the United States. He is currently a member of the Turnaround Management Association - Birmingham, Alabama Chapter, as well as steering committee member, a member of the Tuscaloosa Estate Planning Council, a member of the AICPA-Tax Section and the Alabama Society of CPAs. Mr. Dyer is licensed to practice in Alabama, Mississippi and Texas. He also is a former member of the Board of Directors of the West Alabama Chamber of Commerce and chairman and member of various finance councils of the Catholic Diocese of Birmingham and the Holy Spirit Parish. MICHAEL S. EVANS is an attorney with the law firm of Baker, Donelson, Bearman, Caldwell & Berkowitz, PC. Mr. Evans concentrates his practice on representing closely-held businesses and their owners in the areas of tax law, business and corporate law, mergers and acquisitions, and estate and succession planning. His experience includes assisting entrepreneurs with choice of entity decisions and the organization of new businesses; providing tax planning on corporate and partnership income tax matters; counseling business management on executive compensation planning options and strategies; guiding businesses through the merger, acquisition and sale process; and designing sophisticated estate and succession plans for entrepreneurs, executives, and other individuals. Mr. Evans earned his B.A. degree from the College of William and Mary and his J.D. degree from Georgia State University College of Law. JOSEPH C. MANDARINO is a partner with the law firm of Stanley Esrey & Buckley, LLP. His practice focuses primarily on planning for business entities and their owners. Mr. Mandarino writes and speaks on a variety of topics. His articles have appeared in the National Law Journal, Mergers & Acquisitions magazine, Tax Notes Today, the Journal of Real Estate Taxation, the Journal of S Corporation Taxation, the Journal of Multistate Taxation, the Tax & Finance Newsletter and the NYU Institute on Federal Taxation.
