C. SCOTT BRAINARD is secretary and corporate counsel for the general contracting and development firm of William Karns Enterprises, Inc., located in Treasure Island, Florida. He joined the firm in 2008 after more than 28 years in private law practice in St. Petersburg, Florida, most recently with the firm of Deeb & Brainard, PA. He earned his B.A. degree from Grove City (PA) College and his J.D. degree from Stetson University College of Law. Mr. Brainard's private practice focused primarily on real estate and commercial transactions, including sale and lease transactions, development, construction, real estate and business financing, title insurance services, and loan documentation. He also focuses on general business matters, including formation of business entities, contract negotiation and preparation, business sales, and general business counseling. Mr. Brainard is a member of The Florida Bar with membership in the Condominium Committee for 25 years and in the Business Law Section for 17 years. He has spoken at numerous seminars sponsored by the Florida Bar, National Business Institute, the University of Miami, and other Florida CLE providers on a variety of real estate and commercial topics, including formation, documentation and operation of limited liability companies, condominium development and operation, survey and title issues, and commercial leasing issues. ERIC J. HALL is an attorney with the law firm of Hill Ward Henderson in Tampa, Florida. He is a member of the firm's corporate and tax, and executive compensation and employee benefits practice groups. He advises both public and privately-held companies with respect to corporate and business legal matters. Mr. Hall works with clients to assist them in accomplishing mergers, acquisitions and joint-venture transactions. In addition, he counsels clients on an ongoing basis in connection with a wide range of other corporate, business and tax matters, including representing clients with respect to the preparation and negotiation of various business contracts, and the formation and dissolution of business entities. He works with clients in a number of different industries, including the automotive, technology, real estate and healthcare industries. Mr. Hall is licensed to practice law in Florida and Ohio, and he is actively involved with The Florida Bar's Business Law and Tax sections. He serves as chair of the Tax Section's Annual National Tax Moot Court Competition. He is also a member of the Business Law Section's Corporate, Securities and Financial Services Committee. Mr. Hall is a member of the Small Business Council of America, a national lobbying group for small businesses and their owners with respect to business, tax and employee benefit issues. He earned his B.S. and J.D. degrees from the University of Florida, and his LL.M. degree from Case Western Reserve University. P. PRESTIN WEIDNER is an associate with Hill Ward Henderson in Tampa, Florida. His practice primarily involves corporate and tax planning and advice for business transactions, the formation of business entities, executive compensation, equity and equity-based compensation arrangements. Mr. Weidner has lectured on the application of Section 409A of the Internal Revenue Code to incentive-based compensation plans. He earned his B.S. degree in accounting, magna cum laude, from Florida State University; his J.D. degree from Vanderbilt University Law School, where he served as articles editor for the Vanderbilt Law Review and was elected to the Order of the Coif; and his LL.M. degree in taxation, with distinction, from Georgetown University Law Center, where he was a graduate tax scholar. Mr. Weidner is a member of the Tax Section of The Florida Bar, the American Bar Association and the Hillsborough County Bar Association. He is currently the chair of The Florida Bar Tax Section's Annual Tax Moot Court Competition.
