P. BLAKE ALLEN is a partner in the law firm of Duane Morris LLP in San Diego, where he practices in the area of corporate law with an emphasis on emerging companies, securities law, mergers and acquisitions, and public company representation. Mr. Allen has expertise in SEC reporting obligations of NYSE and NASDAQ traded companies. He works extensively on Sarbanes-Oxley issues and related corporate governance matters. He has represented issuers and venture capital investors in connection with public and private issuances of equity and debt. Mr. Allen has represented buyers and sellers in mergers and acquisitions transactions. He regularly advises boards of directors, audit committees and other board committees on matters such as disclosure issues, corporate governance, insider trading compliance, and related party transactions and acts as outside general counsel to public companies. Mr. Allen has served as an M&A expert witness in trial. He was a law clerk for Chief Judge William J. Holloway, Jr. of the U.S. Circuit Court of Appeals for the Tenth Circuit. MIKEL R. BISTROW is a partner with Foley & Lardner LLP and practices in the areas of commercial finance and lending, real and personal property secured transactions, Uniform Commercial Code, creditor's collection and related remedies, bankruptcy, insolvency and work-outs. Ms. Bistrow's finance practice emphasizes representing lenders and borrowers in documenting and negotiating real and personal property loans and secured transactions, including revolving lines of credit, asset-based loans, securitized credits and construction financing. She is a member of the firm's bankruptcy & business reorganizations practice, as well as the western regional co-chair of the practice. Ms. Bistrow is a seasoned lecturer and published author and in 2010, she was named one of San Diego's Top 25 Lawyers by San Diego Metropolitan magazine. She was named 2012 San Diego Litigation - Bankruptcy Lawyer of the Year by Best Lawyers in America, and was recognized in the list of Best Lawyers in San Diego in San Diego Magazine in the 2005 - 2011 editions. Ms. Bistrow was selected for inclusion in the 2007 - 2011 San Diego Super Lawyers lists, and was selected as a San Diego Top Attorney by the San Diego Daily Transcript. Ms. Bistrow is a member of the Business Law Section, the Uniform Commercial Code, and the Business Bankruptcy Committees of the American Bar Association. She is a member and former co-chairperson of the Uniform Commercial Code Committee and a former member of the Executive Committee and treasurer of the Business Law Section of the State Bar of California. In addition, she is a founding member of the San Diego Bankruptcy Forum and a former member of the board of directors of the California Bankruptcy Forum. Ms. Bistrow is also board certified in business bankruptcy law by the American Board of Certification. Ms. Bistrow earned her J.D. degree from the University of Michigan Law School and is an honors undergraduate of the University of Michigan. Ms. Bistrow is admitted to practice in California and before the U.S. District Court for the Southern, Northern, Central and Eastern districts of California, the Ninth Circuit Court of Appeals, and the U.S. Supreme Court.
