BRIAN J. BURT is a partner with Snell & Wilmer L.L.P., a full-service business law firm, with over 400 attorneys practicing in eight offices throughout the western United States and Mexico. Mr. Burt also serves as chair of the firm's Emerging Business Group. He is a business lawyer advising entrepreneurs and emerging growth companies in all stages of development, from formation to liquidity. Mr. Burt also represents banks, financial services companies, private investors and venture capital funds. He earned his J.D. from Harvard Law School, where he served as Managing Editor of the Harvard Journal of Law & Public Policy. JEFFREY B. FUGAL is a partner with the Phoenix law firm of Quarles & Brady LLP. His practice focuses on corporate, limited liability company and partnership law and transactional tax planning for businesses in connection with business formation, restructuring, recapitalizations, joint ventures, mergers and acquisitions and real estate ventures. Mr. Fugal is a frequent lecturer on various federal income tax topics. He is admitted to practice before the U.S. Tax Court. Mr. Fugal earned his B.A. degree from Brigham Young University, his J.D. degree from Indiana University and his LL.M. degree in taxation from the University of Denver. He is a member of the State Bar of Arizona (former chairperson, Tax Section), Maricopa and American bar associations. ELIOT L. KAPLAN is a partner at the law firm of Squire, Sanders & Dempsey L.L.P., where his practice is focused on international, federal, state and local tax issues, real estate transactions, mergers and acquisitions and other corporate matters. He frequently provides advice concerning partnerships, limited liability companies, joint ventures, entity formation, dissolution, business reorganizations and restructurings. Mr. Kaplan advises on complex nonprofit organizations, international business transactions and tax controversies. He is a former attorney-adviser in the national office of the Internal Revenue Service and is a former member of the Internal Revenue Service Advisory Council. Mr. Kaplan is a former adjunct professor of law at the University of Missouri at Kansas City School of Law. He also lectures on tax issues before audiences such as the New York University Tax Institute, the California CPA Society and National Business Institute. He earned his B.S. degree from the University of Arizona, his J.D. degree from Arizona State University and his LL.M. degree in taxation, with distinction, from Georgetown University. Mr. Kaplan is a member of the American Bar Association (member, Taxation Section and subcommittee chair, Real Estate Committee) and the State Bar of Arizona (member, Taxation Section). BILL KASTIN is a partner in the general federal tax group at the law firm of Snell & Wilmer L.L.P. His practice concentrates on problem solving and planning for individuals, corporations (including S corporations), partnerships and LLCs. He works with the client's leadership team to identify, create and help implement strategies that achieve the desired results in a timely and efficient manner, while being respectful of the client's business culture. Mr. Kastin's experience includes advising clients in connection with business formations, mergers and acquisitions, reorganizations, recapitalizations, bankruptcy and non-bankruptcy restructurings, loan workouts and modifications, securitizations, private equity transactions, real estate transactions, §1031 "like-kind" exchanges, condemnations and daily operations. He also advises non-U.S. clients on the U.S. tax implications of their U.S. investments (inbound transactions), and U.S. clients on the U.S. tax implications of their foreign investments (outbound transactions). In addition, Mr. Kastin counsel's clients on the federal tax implications and economic development incentives associated with doing business with Indian tribes and their members on tribal land. Active in business, professional and non-profit organizations, he sits on the Board of Directors of the Maricopa County Bar Association, where he was the founding chair of the Real Estate Law Section, and serves as board liaison to the MCBA's Corporate Counsel Division. In addition, Mr. Kastin is a member of the Tax Section of the State Bar of Arizona, and is a member of the American Bar Association Section of Taxation, where he sits on the Committee on Partnerships & LLCs, the Committee on Real Estate and the Committee on Sales, Exchange and Basis. Mr. Kastin earned his LL.M. degree in taxation from New York University School of Law. He earned his J.D. degree from Hofstra University School of Law, where he was notes and comments editor of the Hofstra University Labor Law Journal. He earned his B.B.A. degree from George Washington University. Mr. Kastin is admitted to the Supreme Courts of Arizona, New York and New Jersey. KEVIN G. WICK is a principal with the Mesa law firm of Davis Miles, PLLC. His practice has concentrated in the areas of business law, corporate law, limited liability entities, contracts, estate planning, probate, federal taxation, state taxation, trust administration and computer technology law. Mr. Wick has been a featured speaker for the Maricopa County Small Business Seminar Series. He is a member of the Milwaukee and American bar associations, the State Bar of Wisconsin and the State Bar of Arizona.
