ROGER L. COHEN is a shareholder with Jaburg Wilk Attorneys at Law. His practice areas include administrative law, appellate practice, business divorce, corporate transactions, litigation and real estate. Mr. Cohen has long-standing relationships with business clients in a variety of industries including escrow, business brokerage, real estate, manufacturing and equipment dealerships. He is an experienced corporate, business and real estate transactional attorney with extensive experience in negotiating and documenting business purchases and sales and other transactions. Mr. Cohen has extensive litigation experience, having successfully litigated numerous cases in state and federal courts, with emphasis on contract disputes, professional negligence, escrow liability defense, business fraud and complex civil litigation. FUGAL is a partner with the law firm of Quarles & Brady LLP in Phoenix, Arizona. His practice focuses on corporate, limited liability company and partnership law and transactional tax planning for businesses and individuals in connection with business formations, restructurings, recapitalizations, work-outs, joint ventures, mergers and acquisitions, and real estate ventures. Mr. Fugal is a frequent lecturer on various federal income tax and other business law topics. Mr. Fugal received his B.A. degree from Brigham Young University; his J.D. degree from Indiana University; and his LL.M. degree, in taxation, from the University of Denver. He is a member of the Tax Section of the American Bar Association. He is also a member and former chairperson of the Tax Section of the Arizona Bar Association. JOHN L. HAY is the chair of the commercial practice section at the law firm of Gust Rosenfeld P.L.C. He practices in general corporate and commercial law with emphasis on representing small and mid-sized businesses, banks, franchisors, and franchisees. Mr. Hay represents business clients with respect to formation; financing; relationships and contracts with vendors; customers and lenders; dealings with regulatory agencies; relationships among owners; and intellectual property matters. He has written articles and made presentations about franchising and also has published articles and spoke at seminars on corporate law. Mr. Hay earned his B.A. degree, with distinction, from Stanford University and his J.D. degree from University of Colorado. He has been a member of the American Bar Association Forum on Franchising since 1978 and a past member of the Arizona Life and Disability Insurance Guaranty Fund Board. Mr. Hay is a member of the State Bar of Arizona (member, Business Law, Intellectual Property and Securities Regulations sections), the American (Forum on Franchising), and Maricopa County bar associations, and District of Columbia Bar. He also is a member of the Association of Life Insurance Counsel. He is a member of several committees with the Business Law Section of the state bar, actively reviewing proposed changes in the corporate and limited liability company statutes. Mr. Hay is recognized in the Franchising Law Category of the Best Lawyers in America (1995-present) and is listed as a Southwest Super Lawyer (2007-present). JEFFREY A. SCHOEN is the founding shareholder (partner) of the Phoenix-area law firm Law Offices of Jeffrey A. Schoen, P.C., where he practices commercial law with particular emphasis in commercial real estate transactions, commercial real estate finance, limited liability companies, construction law and franchising. For more than 25 years, Mr. Schoen has represented business owners; business buyers and sellers; commercial real estate sellers and buyers; commercial landlords and tenants; commercial lenders and borrowers; design professionals; commercial construction contractors and subcontractors; and franchisors and franchisees. He has presented seminars, published articles, and has been interviewed and cited as authority on commercial real estate matters; is recognized in the Bar Register of Preeminent Lawyers; and was invited to join the faculty of Phoenix School of Law as an adjunct professor. Mr. Schoen received his B.S. degree, in aeronautical technology, from Arizona State University and his J.D. degree from the ASU College of Law. SMITH practices in Mesa where his areas of practice include debtor bankruptcy (Chapter 7, 11 and 13), small business law and asset protection planning. He has handled debtor cases in the Bankruptcy Court in Phoenix since 1987. Mr. Smith is a previous lecturer in his areas of expertise and currently teaches business law at the University of Phoenix. His articles have been published by West and Aspatore Books (most recently, a chapter in Arizona Foreclosure, West 2009) He received his B.A. degree from Brigham Young University and his J.D. degree from Arizona State University.
