HARRISON BISHOP is an attorney with Maynard Cooper & Gale PC, where his practice focuses primarily upon mergers, acquisitions, tax and entity structure issues. Mr. Bishop is also involved with the economic incentives practice, business and tax planning and the state and local tax controversy group. CLARK GOODWIN is a partner with the Birmingham firm of Maynard Cooper & Gale PC, where he practices in the areas of corporate, securities law and mergers and acquisitions. Mr. McLaughlin has experience in a wide variety of corporate and taxation matters including mergers and acquisitions, joint ventures, corporate restructuring and other general corporate and taxation matters. He has represented businesses in numerous industries including mining, manufacturing, transportation, energy and the retail and service industries. He has lectured frequently on topics related to buying and selling a business, choice of entity and issues specific to limited liability companies and limited liability partnerships. Mr. McLaughlin was appointed to the 1997 Alabama Law Institute Advisory (ALI) Committee, which revised the Alabama Limited Liability Company Act and is currently serving on the ALI Committee that has begun revising Alabama's existing LLC Act. He also served on the ALI committee that revised Alabama's Limited Partnership Act effective in 2009. He currently serves on the board of directors of the Alabama Federal Tax Clinic. He earned his B.S. degree, magna cum laude, and his J.D. degree, magna cum laude, from the University of Alabama and his LL.M. degree, in taxation, from New York University. (Birmingham location) JACK P. STEPHENSON JR. is a partner in the firm of Burr & Forman LLP in its Birmingham, Alabama office. He was admitted to the Alabama Bar in 1973, after earning his B.A. degree in 1970 from the University of the South and his J.D. degree in 1973 from The University of Alabama School of Law. Mr. Stephenson practices in the firm's business, real estate, insurance and health law groups. He is experienced in the areas of securities and insurance regulation, corporate and partnership taxation, mergers and acquisitions and real estate development. A substantial part of his practice involves corporate and tax planning for transactions involving business, insurance, real estate and health care entities and the negotiation and implementation of such transactions. He was an adjunct faculty member of The University of Alabama School of Law from 1979-1999. He taught courses in securities law and regulations, corporate finance and business planning. Mr. Stephenson is a member of the American Bar Association, the Alabama State Bar and the Birmingham Bar Association. He is an active member of the American Bar Association Committee on Partnerships and Unincorporated Business Organizations.
