MICHAEL P. DOWNEY is a St. Louis litigator and partner in the national lawyer ethics and risk management practice at Hinshaw & Culbertson LLP, where he advises law and accounting firms on legal, ethics, and risk management matters and represents lawyers and accountants in civil litigation, criminal investigations, and disciplinary proceedings. Mr. Downey also teaches legal ethics and law firm practice at Washington University School of Law. He is a past chair of the American Bar Association's Ethics & Technology Committee and the Illinois State Bar Association's Standing Committee on Professional Conduct, and has been quoted on the front page of the New York Times and appeared as a guest on NPR's Talk of the Nation. In 2010, Mr. Downey was the author of the book Introduction to Law Firm Practice (American Bar Association 2010), and was elected secretary of the American Bar Association Law Practice Management Section. DAVID R. MYLREA is an attorney with Hinshaw & Culbertson LLP, where he has extensive experience in complex commercial finance transactions involving offerings of debt and equity, leases, loans and project financing. He handles all facets of complex, multimillion-dollar financings, including origination, negotiation and preparation of definitive documentation, closing and funding. Mr. Mylrea concentrates his practice in the area of representing banks, investment banks and specialty financial service companies in connection with secured financing transactions with emphasis in real estate and land development. He also represents entrepreneurs and business owners in connection with various business matters, including organization and capitalization of new business ventures. Formerly a "Key-Person Licensee" in Nevada and New Jersey, Mr. Mylrea has extensive experience with the gaming regulatory laws, rules and regulations in all major U.S. gaming jurisdictions. He is the business development partner for one of the Hinshaw & Culbertson LLP's two business transactions departments. Mr. Mylrea is the partner-in-charge of the Minneapolis office, and a past regional director and past member of firm's executive committee. Previously, he served as chief operating officer, secretary, general counsel and a director of a publicly traded specialty financial services company located in Eden Prairie, Minnesota. His professional affiliations reflect his practice emphasis. Mr. Mylrea is a member of the American Bar Association (Section on Corporation, Banking and Business Law). He also is a member of the Minnesota State Bar Association and the Hennepin County Bar Association. Mr. Mylrea is admitted to practice before the U.S. District Court, District of Minnesota. He earned his B.A. degree from St. Olaf College and his J.D. degree from William Mitchell College of Law. LESLIE RICHARDS-YELLEN is a partner with Hinshaw & Culbertson LLP. She is an experienced bond attorney. Since 1984, Ms. Richards-Yellen has concentrated her practice in the public finance arena. She has experience as in-house counsel and in private practice. In addition to her practice, Ms. Richards-Yellen serves as Hinshaw & Culbertson LLP's first chief diversity and inclusion officer. She is a member of the firm's executive committee. Ms. Richards-Yellen's main area of practice is municipal law. In 2007 she was appointed to the National Association of Bond Lawyers Steering Committee, where she is responsible for the "Defaults, Workouts and Bankruptcy Issues in Public Finance" panel. Ms. Richards-Yellen was selected as an Investment Company Institute (ICI) delegate on the Muni Council, sponsored by the Municipal Securities Rulemaking Board (MSRB) (2001 to 2005). From 1994 to 2005 she was a member of the ICI Fixed Income Committee. Ms. Richards-Yellen also served a three year term (2002 to 2005) on the National Association of Securities Dealers' Fixed Income Committee (currently the Financial Industry Regulation Authority), where she represented the buy-side perspective. She is a former member of the National Forum for Black Public Administrators and served as its general counsel from 1991 to 1993. In addition Ms. Richards-Yellen was an advisor to the executive director of the Congressional Black Caucus Foundation from 1992 to 1993. From 1991 to 1993, she was an adjunct professor at Hofstra University School of Law, where she taught a public finance seminar. Ms. Richards-Yellen is a member of the National Association of Women Lawyers and in 2008 was appointed a co-chair of its program committee. She is a member of the Illinois State, Pennsylvania, New York State and Nebraska State bar associations, and District of Columbia Bar. Ms. Richards-Yellen earned her B.F.A. degree from Drake University and her J.D. degree from Cornell law School. STEVEN H. SILTON is a partner in the law firm Hinshaw & Culbertson LLP, where he represents small to mid-sized corporations, banks, credit unions and financial groups in corporate and commercial law matters, as well as complex bankruptcy matters. In Mr. Silton's corporate practice, he counsels his clients on purchase and sale of businesses, secured financing transactions, securities placements and negotiation of corporate documents. He often consults and/or associates with lawyers regarding their financially distressed business clients. Mr. Silton has been instrumental in the reorganization of a number of businesses, and has been appointed as counsel for creditor committees. He has filed more than 75 consumer cases and litigated numerous adversary proceedings. An experienced litigator, Mr. Silton has completed more than 20 trials, including five jury trials to verdict and 15 appeals. Since 2002, he has annually been named a Super Lawyer by Minneapolis-St. Paul Magazine and Law & Politics Magazine. In addition, Mr. Silton recently contributed the article "Counseling Clients in Financial Distress," for the August 2009 issue of the Minnesota Bench & Bar. He is an adjunct professor at William Mitchell College of Law, and is co-director of its consumer bankruptcy clinic. Mr. Silton is a member of the Hennepin County Bar Association, Minnesota State Bar Association, State Bar of Wisconsin, The Florida Bar, The Association of Trial Lawyers of America and Turnaround Management Association. He also is a member of the Board of Directors of Bolder Options and advisory board of Marzan Interactive, LLC. Mr. Silton is admitted into practice before the U.S. District Court, District of Minnesota; U.S. District Court, Western District of Michigan; U.S. Court of Appeals, 8th Circuit; and the U.S. Supreme Court. He has earned his B.A. degree from the University of Wisconsin and his J.D. degree from William Mitchell College of Law. MARSHALL H. TANICK is a shareholder with Mansfield, Tanick and Cohen, P.A., where his main areas of practice are personal injury, and labor and employment law. Mr. Tanick is a member of the Minnesota State, Hennepin County and American bar associations, and State Bar of California. He is admitted to practice before the U.S. District Court District of Minnesota, the U.S. Court of Appeals 3rd, 7th and 8th circuits, and the U.S. Supreme Court. Mr. Tanick earned his B.A. degree, summa cum laude, from the University of Minnesota and his J.D. degree, summa cum laude, from Stanford Law School. THOMAS G. WALLRICH is a partner in the Minneapolis office of Hinshaw & Culbertson LLP. Mr. Wallrich's broad experience encompasses four main practice areas: bankruptcy, banking and financing, real estate, and commercial litigation. Mr. Wallrich's bankruptcy practice includes representing debtors, creditors and committees in complex reorganization proceedings and work-outs, as well as debt and equity restructurings. His banking practice is focused primarily on representation of community banks and regional banks in transaction documentation, participation agreements, regulatory matters, and debt restructuring transactions and litigation. Mr. Wallrich's real estate practice involves representation of commercial landlords in lease creation, lease disputes, property recovery and bankruptcy matters. He also represents many commercial and residential developers in land use issues, governmental approval matters, subdivision of land, tax increment financing, sales, financing, and debt treatment and restructuring matters. Mr. Wallrich's commercial litigation practice involves representing a variety of litigants in complex litigation. Mr. Wallrich is a member of the Minnesota State Bar Association, where he is active in the Real Estate Section. His professional memberships also include the Hennepin County Bar Association. He is an adjunct professor at his alma mater, William Mitchell College of Law, and is co-director, with Hinshaw partner Steven H. Silton, of its consumer bankruptcy clinic. In 2008, Mr. Wallrich was named as a Super Lawyer in the area of bankruptcy and creditor/debtor rights by Minnesota Super Lawyers magazine. CHERYL WILKE is a partner with Hinshaw & Culbertson LLP, where she focuses her practice in the representation of employers in labor and employment matters, including providing comprehensive risk management programs and safety-related legal advice. She counsels on all aspects of employer / employee relations, including business litigation, regulatory compliance, employment defense litigation and workers' compensation matters. Ms. Wilke also practices in the area of high-dollar commercial collections work and services. In addition to her trial work, she also handles all of the firm's workers' compensation appellate cases, and has appeared in Florida Supreme Court, defending the constitutionality of Florida's workers' compensation statute. Ms. Wilke's clients include Culligan, Kellogg Company and The Tribune Company. She also has experience representing clients in sports law matters, including professional baseball, football and soccer teams such as the Detroit Tigers, the Boston Red Sox and the U.S. Soccer Federation. Ms. Wilke is the partner-in-charge of Hinshaw & Culbertson LLP's Ft. Lauderdale office, and the business development partner of one of the firm's two business transactions departments. She is a member of the firm's executive committee and its diversity committee, and is a past regional director. Ms. Wilke is a member of The Florida Bar and a member and past president of its Grievance Committee - Group G. Her professional memberships also include the American Bar Association, Florida Association of Women Lawyers and the Broward County Bar Association. Since 2007 Ms. Wilke has been named annually to the Super Lawyers list in the area of workers' compensation by Florida Super Lawyers magazine. She has taught numerous seminars on workers' compensation and related employment issues. Ms. Wilke has taught risk management classes for two major publicly traded international corporations.
