ELLIS M. CARTER is the principal of Carter Law Group, P.C., in Phoenix, Arizona. Ms. Carter advises nonprofits, tax-exempt organizations and social enterprises with respect to corporate, tax and regulatory issues. She represents nonprofit and tax-exempt organizations in matters such as qualification for tax exemption, conversions to and from tax-exempt status, mergers and restructuring, joint ventures and entrepreneurial activities, supporting organizations, unrelated business income tax, advocacy and campaign activities, charitable solicitations, endowment management, governance issues, compensation matters, unusual and complex grants, foreign activities, mission and program related investments, intermediate sanctions, audit defense, complex gifts and gifts with tax shelter implications. Ms. Carter understands the fast moving social enterprise movement and the nuances of blending nonprofit, commercial and hybrid legal structures. She represents social enterprises in entity selection, formation and operational issues. Ms. Carter has particular expertise in economic development entities, health care and scientific research institutions, grant-making foundations, trade associations and educational institutions. She also assists individuals with charitable planning and in planning major gifts. Ms. Carter earned her J.D. degree, cum laude, from Seattle University School of Law and her LL.M. degree from the University of Washington's Graduate Tax Program. She has been selected by her peers for inclusion in Best Lawyers in America for nonprofit and charity law 2007-2010. Ms. Carter was listed by Phoenix Magazine as a top lawyer for nonprofit-charities law in 2007, and was named Non-Profit Advocate of the Year by the Volunteer Lawyers Program in 2002. Additionally, she is a founding director of the Diversity Leadership Alliance.

LAURA A. LO BIANCO is a director with the law firm of Fennemore Craig, P.C., in Phoenix, Arizona. She focuses her practice on corporate law and transactional matters. Ms. Lo Bianco's corporate experience includes formation of organizations, including corporations, partnerships, non-profit, tax-exempt organizations and limited liability companies; corporate governance; and maintenance of requisite organizational records. She also has experience with mergers and acquisitions; and purchase, sale and lease of real property. She advises various entities, such as private foundations, support organizations, public charities, and other entities that are tax-exempt under the Internal Revenue Code. Ms. Lo Bianco graduated from Arizona State University, magna cum laude, with her B.S. degree, and she earned her J.D. degree, cum laude, from Santa Clara University School of Law. Ms. Lo Bianco is an active member of the Board of Directors for the Phoenix Public Library Foundation and the Executive Council of the Business Law Section of the State Bar of Arizona. She is a frequent speaker in the area of tax-exemption organizations and business law.

KENDIS K. MUSCHEID is a director of the law firm of Fennemore Craig, P.C., in Phoenix, Arizona, where she practices primarily in the areas of tax-exempt organizations and state and local taxation. She is a frequent speaker in the areas of tax-exempt organizations and has written several articles in the area. Ms. Muscheid earned her B.B.A. degree from Texas Tech University; and her J.D. degree, with great distinction, from McGeorge School of Law, University of the Pacific. She is a member of the Board of Directors of Childsplay and serves on the Planned Giving Committee for the Phoenix Children's Hospital Foundation. Ms. Muscheid also is a member of the American and Maricopa County bar associations, the State Bar of Arizona, the State Bar of California, and the State Bar of Colorado.
